Employment Duties and Performance. The Employee will render full-time professional services to CAEI in the capacity of Chief Executive Officer of CAEI. He will at all times, diligently, in good faith, in a manner consistent with the best interests of CAEI, and to the best of his ability, perform all duties that may be required of him by virtue of his position as Chief Executive Officer and all duties set forth in CAEI’s bylaws and in policy statements of the Board of the Directors of CAEI (the “Board”). It is understood that these duties shall be substantially the same as those of a chief executive officer of a business corporation. The Employee is hereby vested with authority to act on behalf of the Board in keeping with policies adopted by the Board, as amended from time to time. In addition, he shall perform in the same manner any special duties assigned or delegated to him by the Board. In the course of his employment, Employee shall comply with all policies, including Codes of Ethics, that are applicable to the CAEI’s officers in general and the chief executive officer, in particular.

Employment Duties and Performance. Executive shall be employed by the Company on a full-time basis in the position of Chief Executive Officer, reporting directly to the Company's Board of Directors. Executive shall have such authority and shall perform such duties and responsibilities as are typically incident to such position, together with and such additional reasonable duties consistent his position and title as lawfully delegated to Executive from time to time by the Board of Directors or any executive officer of the Company who has the authority to delegate such duties to Executive. Executive shall use all reasonable efforts to further the interests of the Company and shall devote substantially all of his business time and attention to his employment duties to the Company: provided that nothing in this Agreement shall preclude Executive from devoting reasonable periods required for (i) participating with professional associations, educational institutions, or in civic or charitable activities, or (ii) serving on the board of directors or similar body of any other business entity, provided that it is not a Competitive Position (as defined in Section 9 hereof) and provided further that membership on any for-profit board shall require the prior approval of the Company's Board of Directors..
Employment Duties and Performance. The Corporation hereby employs the above mentioned individual as Vice President and Director , and such other positions and offices which the Board of Directors of the Corporation (the "Board") may elect him.   • Duties and Performance From time to time during the term of this Agreement, Consultant shall provide such advisory services relating to the Company's financial status and capital structure (the "SERVICES") to Company as Consultant and Company shall agree. In connection with the Services, Consultant may develop and communicate to Company certain business opportunities with entities known to Consultant; the Services may include various types of arrangements, including direct investment into Company.
