Employee Nondisclosure and Developments Agreements. The Company shall use its best efforts to obtain, and shall cause its subsidiaries to use their best efforts to obtain, an Employee Nondisclosure and Developments Agreement from all future officers, key employees and other employees who will have access to confidential information of the Company or any of its subsidiaries, upon their employment by the Company or any of its subsidiaries.
Employee Nondisclosure and Developments Agreements. The -------------------------------------------------- Company shall use its best efforts to obtain an Employee Nondisclosure and Developments Agreement in substantially the form of Exhibit C, or in such other --------- form as is approved by the Board of Directors, from all future officers, key employees and other employees who will have access to confidential information of the Company, upon their employment by the Company.

The Company shall obtain, and shall cause its subsidiaries to obtain, an Employee Nondisclosure and Developments Agreement in substantially the form of Exhibit E from all future officers, key employees and other employees who will have access to confidential information of the Company or any of its subsidiaries, upon their employment by the Company or any of its subsidiaries.
Employee Nondisclosure and Developments Agreements. Noncompetition Agreements. ----------------------- The Company shall use its reasonable good faith efforts to obtain, and shall cause its subsidiaries (if any) to use their reasonable good faith efforts to obtain, an (i) Employee Nondisclosure and Developments Agreement in substantially the form of Exhibit B from all future officers, key employees and --------- other employees who will have access to confidential information of the Company or any of its subsidiaries, and (ii) a Noncompetition Agreement in substantially the form of Exhibit C from all officers and such other employees as may be --------- specified from time to time by the Board of Directors of the Company in each case upon their employment by the Company or any of its subsidiaries (if any).

The Company shall obtain, and shall use its best efforts to cause its subsidiaries to obtain, appropriate employee nondisclosure agreements or equivalent agreements from all future officers, key employees and other employees, who will have access to confidential information of the Company or any of its subsidiaries, upon their employment by the Company or any of its subsidiaries.
Employee Nondisclosure and Developments Agreements. The Corporation shall obtain, and shall cause its subsidiaries to obtain, an Employee Proprietary Information Agreement in substantially the form of Exhibit E from all future officers, key employees and other employees who will have access to confidential information of the Corporation or any of its subsidiaries, upon their employment by the Corporation or any of its subsidiaries or by the University of Michigan pursuant to any agreement between the University of Michigan and the Corporation.
Employee Nondisclosure and Developments Agreements. The -------------------------------------------------- Company shall obtain, and shall cause its subsidiaries to obtain, an Employee Nondisclosure and Developments Agreement or a Nondisclosure Agreement (in the case of employees of Cold Spring Harbor Laboratory) in substantially the form of Exhibit I-2 or Exhibit I-2, respectively from all future officers, key employees ----------- ----------- and all other employees who may have access to confidential information of the Company or any of its subsidiaries, upon their employment by the Company or any of its subsidiaries or by Cold Spring Harbor Laboratory pursuant to any agreement between Cold Spring Harbor Laboratory and the Company.

The Company shall use its commercially reasonable efforts to obtain an Employee Nondisclosure and Developments Agreement, in form and substance reasonably satisfactory to the Company’s Board of Directors, from all officers, key employees and other employees hired on a full-time basis after the Effective Date who will have access to confidential information of the Company upon their employment by the Company. Notwithstanding the foregoing, the Company shall not be required to seek Employee Nondisclosure and Development Agreements from any individual employed as a sales clerk at its store locations.
