Election and Resignation of Directors and Officers. Evidence of the election or appointment, as applicable, of Xxxxx X. Xxxxxxxx, Xxxxxxxx Xxxxxxxx and Xxxx Xxxxxxx, effective as of the Closing. Each Xxxxxxx Xxxxxx, Xxxxx XxXxxx and Xxxxxxx Xxxxxxxx will resign from all positions such person holds with the Parent, effective as of the Closing. After execution of this Agreement, Xxxxx XxXxxx shall resign from the position of Chief Financial Officer of the Parent and Xxxxx X. Xxxxxxxx shall be immediately appointed to serve as Chief Financial Officer and member of the Board of Directors until Closing.

  • Resignation of Directors and Officers The directors and officers of the Company in office immediately prior to the Effective Time shall have resigned as directors and officers of the Surviving Corporation effective immediately following the Effective Time.

If the Surviving Company or any of its successors or assigns shall: (x) consolidate with or merge into any other corporation or entity and shall not be the continuing or surviving corporation or entity of such consolidation or merger; or (y) transfer all or substantially all of its properties and assets to any individual, corporation or other entity, then and in each such case, to the extent necessary, proper provisions shall be made so that the successors and assigns of the Surviving Company shall assume all of the obligations set forth in this Section 5.11.

  • Designation of Directors The designees to the Company’s board of directors described above (each a “Designee”) shall be selected as follows:
