EFFORTS OF EMPLOYEE. Employee shall not enter into any agreement or contract on behalf of Employer or commit to any obligation without the prior approval of Employer. Employee shall faithfully and diligently discharge his/her duties and responsibilities and shall exert his/her best efforts and abilities to maintain and preserve good relationships with suppliers, advertisers, customers, lessors, governmental agencies, and others having business dealings with Employer. Employee shall not, during the Term, be or become involved or interested, directly or indirectly, in any manner, as a partner, officer. director, stockholder, advisor, inventor, creditor, employee or in any other capacity in any Business as defined in Attachment A; provided, however, that Employee may, as a passive investor, invest personal funds in the capital stock or other securities of a corporation or other entity, provided Employee owns less than one percent (1%) of the equity securities of such entity or an investment in such entity represents less than five percent (5%) of the total assets of Employee.
EFFORTS OF EMPLOYEE. 2.1 EXECUTIVE agrees to devote his full time and skills to the conduct of MWS's business operations, performing the duties of the President and Chief Operating Officer, and such other duties as may be requested by the Board of Directors of MWS. EXECUTIVE will not, without the express written permission of MWS, engage in any substantial private business activities outside or separate from EXECUTIVE's employment with MWS in any field which would prevent or interfere with the performance of his services for MWS as contemplated herein. EXECUTIVE will comply with MWS's policies and personnel regulations as the same may be adopted by MWS from time to time. EXECUTIVE shall perform his duties and manage and operate the Business at all times in strict accordance with all applicable federal and state laws and regulations, local ordinances, and any compliance agreement or other agreement/authorization between MWS and the Minnesota Pollution Control Agency, the Wisconsin Department of Natural Resources, or any other applicable state agency for the conduct of the Business.
EFFORTS OF EMPLOYEE. Xxxx Xxxxxxx agrees to perform faithfully, industriously, and to the best of Xxxx Xxxxxxx’x ability, experience, and talents, all of the duties that may be required by the express and implicit terms of this Agreement, to the reasonable satisfaction of CalTier. Such duties shall be provided at such place(s) as the needs, business, or opportunities of CalTier may require from time to time. Xxxx Xxxxxxx shall devote his full business time to the rendition of such Services, subject to absences for customary vacations and for temporary illness. In addition, Xxxx Xxxxxxx will not engage in any other gainful occupation which requires Xxxx Xxxxxxx’x personal attention and/or creates a conflict of interest with job responsibilities under this Agreement without the prior approval of the Board, with the exception that Xxxx Xxxxxxx may personally trade in stock, bonds, securities, commodities or real estate investments for his own benefit.

EXECUTIVE shall perform his duties and manage and operate the Business at all times in strict accordance with all applicable federal and state laws and regulations, local ordinances, and any compliance agreement or other agreement/authorization between MWS and the Minnesota Pollution Control Agency ("MPCA"), the Wisconsin Department of Natural Resources ("WDNR"), or any other applicable state agency for the conduct of the Business.

EXECUTIVE will not, without the express written permission of MWS, engage in any substantial private business activities outside or separate from EXECUTIVE's employment with MWS in any field which would prevent or interfere with the performance of his services for MWS as contemplated herein. EXECUTIVE will comply with MWS's policies and personnel regulations as the same may be adopted by MWS from time to time. EXECUTIVE shall perform his duties and at all times in strict accordance with all applicable federal and state laws and regulations, local ordinances, and any compliance agreement or other agreement/authorization between MWS and the Minnesota Pollution Control Agency ("MPCA"), the Wisconsin Department of Natural Resources ("WDNR"), or any other applicable state agency for the conduct of the Business.
EFFORTS OF EMPLOYEE. Employee shall devote and use Employee's best skills and efforts and all of Employee's working time to serve in and perform the duties of the position for which Employee is hired and any other duties as directed or assigned by Company. Notwithstanding the above, the Employee shall be permitted to (i) manage his personal, financial and legal affairs and (ii) serve on civic or charitable boards or committees. Subject to the terms and conditions set forth herein, Employee's position, job title, job duties and compensation may change depending on the business circumstances of Company, as determined by Company. This Agreement does not guarantee Employee continued employment for any specific period of time, or any specific position and/or title with Company.
EFFORTS OF EMPLOYEE. Administrator agrees to perform in a professional and businesslike manner the duties delineated in this Agreement to the best of Administrator's ability, experience, and talents. Such duties shall be provided at such place(s) as the needs, business, or opportunities of ATOG may require from time to time.

To the maximum extent permitted by applicable law and the Company’s by-laws, the Company shall indemnify Xx. Xxxxxxxx for all acts and omissions by him and any action on his part while acting in such capacity, and for the losses that arise from serving at the request of the Company or subsidiary thereof as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, employee benefit plan or other enterprise. Xx. Xxxxxxxx will be covered by directors and officers liability insurance on a basis no less favorable than provided to directors and officers of the Company, including ‘tail’ coverage.
