Effects of Expiration or Termination. Upon expiration or termination of this Agreement, all rights hereunder shall immediately cease and each party shall (i) return to the other party all Confidential Information received from said other party, including any and all copies thereof, which is in the possession of that party, (ii) destroy Execution Copy all materials which incorporate or are based on the other party’s Confidential Information, and which were prepared by that party or any of its employees or advisors, and (iii) certify to the other party in writing that it has complied with the provisions of this paragraph.
