Effectiveness of the Closing. The Closing will be effective as of the close of business on the Closing Date, provided that all of the transactions contemplated by Sections 2 and 3 (other than Section 2.6(b)) have been consummated.

Effectiveness of the Closing. The Closing will be effective as of the close of business on the Closing Date, provided that all of the transactions contemplated by Sections 2, 3 and 4 have been consummated. If the transactions contemplated by Sections 2, 3 and 4 have not been consummated within ten (10) business days after the date set forth as the Closing Date, the Parties shall terminate this Agreement and unwind all transactions undertaken pursuant to this Agreement so as to leave the Parties in the same position that they had been in immediately before the Closing Date.
