Effectiveness of Representations, Warranties and Agreements; Knowledge, Etc. (a) Except as otherwise provided in this Section 8.01, the representations, warranties and agreements of each party hereto shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any other party hereto, any person controlling any such party or any of their officers or directors, whether prior to or after the execution of this Agreement. The representations, warranties and agreements in this Agreement shall terminate at the Effective Time or upon the termination of this Agreement pursuant to Section 7.01, as the case may be, except that the agreements set forth in Article I, Section 5.07 and Section 5.11 shall survive the Effective Time indefinitely and those set forth in Section 7.03 shall survive termination indefinitely. The Confidentiality Letters shall survive termination of this Agreement as provided therein.

The representations, warranties and agreements in this Agreement and certificates delivered pursuant hereto shall survive the Closing Date until the date that is three months after the filing of the Company's Annual Report on Form 10-K for the period ended December 31, 1999 or upon the termination of this Agreement pursuant to Section 6.1, as the case may be, at which time they shall terminate and be of no further force or effect, except that the agreement set forth in Section 4.6 shall survive for two years from the Closing Date, the agreements contained in Sections 4.10, 4.13, 4.15, 4.16, 7.1 or 7.2 shall last indefinitely, unless sooner terminated in accordance with their respective terms and the agreement set forth in Section 6.3 shall survive the Closing Date until paid.

The covenants and agreements of the parties contained in this Agreement shall survive the Effective Time unless and until they are otherwise terminated pursuant to their terms as a matter of applicable laws.
