Common use of Effectiveness of Amendment Clause in Contracts

Effectiveness of Amendment. This Amendment shall become effective as of the date the Administrative Agent shall have received counterparts of this Amendment duly executed by the Borrower and the Required Lenders.

Effectiveness of Amendment. This Amendment shall become effective as of upon ---------------------------- (i) the date execution and delivery to the Administrative Agent shall have received of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of this Amendment duly executed the Borrower and those Lenders constituting the Required Lenders for purposes of the Credit Agreement, and (ii) payment by the Borrower of all costs and expenses of the Required LendersAdministrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution of this Amendment.

This Amendment shall become effective as of the date set forth above on the date on which the Administrative Agent (or its counsel) shall have received counterparts of this Amendment duly executed by that, when taken together, bear the Borrower and signatures of the Borrowers, the Guarantors, the Required Lenders and each Term Lender (after giving to any prior or concurrent assignments by Term Lenders, whether pursuant to Section 3.07 of the Credit Agreement or otherwise).

Effectiveness of Amendment. This Amendment shall become effective as of the date first above written when, and only when, the Administrative Agent shall have received (a) counterparts of this Amendment duly executed by the Borrower Borrowers, the Administrative Agent and the Required Lenders (or, as to any of the Lenders, advice satisfactory to the Administrative Agent that such Lender has executed this Amendment), and (b) an original counterpart of the Consent attached hereto executed by each Guarantor.

Effectiveness of Amendment. This Amendment shall become effective as of the date first written above so long as the Administrative Agent shall have has received (a) counterparts of this Amendment duly executed by the Borrower Company and each of the Required LendersLenders and (b) all fees required to be paid, and all expenses for which invoices have been presented (including the reasonable fees and expenses of legal counsel).

Effectiveness of Amendment. This Amendment shall become be effective as upon (a) receipt by the Agent of an executed copy of this Amendment, (b) receipt by the Agent of a certified copy of a resolution of the date Board of Directors of the Administrative Agent shall have received counterparts Borrower authorizing the execution, delivery and performance of this Amendment duly executed Amendment, and (c) receipt by the Borrower and Banks of all fees due from the Required LendersBorrower.

Effectiveness of Amendment. This Amendment shall become effective as of upon (i) the date receipt by the Administrative Agent shall have received of counterparts of this Amendment duly executed by each of the Borrower Borrower, the Administrative Agent and the Required Lenders, and (ii) the receipt by the Administrative Agent from the Borrower of all out-of-pocket expenses incurred by the Agents in connection with this Amendment, including the fees, charges and disbursements of counsel.

Effectiveness of Amendment. This Amendment shall become effective as of the date first above written when, and only when, the Administrative Agent shall have received (a) counterparts of this Amendment duly executed by the Borrower Borrower, the Parent, the Administrative Agent and the Required Lenders (or, as to any of the Lenders, advice satisfactory to the Administrative Agent that such Lender has executed this Amendment) and (b) an original counterpart of the Consent attached hereto executed by each Subsidiary Guarantor.

Effectiveness of Amendment. This Amendment shall become effective as upon receipt by the Agent of the date the Administrative Agent shall have received (i) original counterparts of this Amendment duly executed by the Borrower Borrower, the Guarantors and the Required LendersBanks, and (ii) payment of the Agent’s legal fees and expenses.

Effectiveness of Amendment. This Amendment shall become be effective as of the date hereof upon (i) it being executed and delivered by the Borrower to the Administrative Agent, (ii) the execution and delivery to the Administrative Agent shall have received counterparts of this Amendment duly counterpart copies hereof executed by the Borrower and the Required Lenders, and (iii) receipt by the Administrative Agent of evidence of payment of all fees and expenses of the Administrative Agent in connection with this Amendment, including without limitation the fees and disbursements of special counsel to the Lenders.

Effectiveness of Amendment. This Amendment shall become effective as of the date of receipt by the Administrative Agent shall have received of counterparts of this Amendment duly executed by the Borrower and the Required Lenders.

This Amendment shall become effective as of the date hereof (the Administrative Agent shall “Effective Date”) when (a) the Required Lenders, including all Term Lenders, have received executed and delivered a counterpart of this Amendment and the Borrower and the Guarantors have delivered duly executed counterparts of this Amendment duly executed by to the Administrative Agent and (b) the Administrative Agent has received payment from the Borrower for any and all fees, costs and expenses (including those of legal counsel) relating to the Required LendersCredit Agreement and this Amendment.

Effectiveness of Amendment. This Amendment shall become effective as of the date the Administrative Agent shall have received counterparts of this Amendment duly executed by the Borrower, the Term Borrower and Lenders having Revolving Credit Exposures, unused Commitments and outstanding Term Loans representing more than 50% of the Required Lenderssum of the total Revolving Credit Exposures, unused Commitments and outstanding Term Loans.

Effectiveness of Amendment. This Amendment shall become effective as of the date set forth above on the date on which the Administrative Agent (or its counsel) shall have received counterparts of this Amendment duly executed by that, when taken together, bear the Borrower signatures of the Borrowers, the Guarantors and the Required Lenders.

Effectiveness of Amendment. This Amendment shall become effective as of the date the Administrative Agent shall have received counterparts of this Amendment duly executed by the Borrower and Borrower, the Required LendersLenders and Sprint Corporation.

This Amendment shall become effective as of upon (i) the date the Administrative Agent shall have received receiving counterparts of this Amendment duly executed by the Borrower and the Required LendersMajority Banks, (ii) the payment by the Borrower of all reasonable legal fees and expenses associated with the Amendment and (iii) the consummation of the Joint Venture under the Goodyear Agreement on or before December 31, 2000.

Effectiveness of Amendment. This Amendment shall become effective as of the date upon receipt by the Administrative Agent shall have received counterparts of a fully-executed and delivered copy of this Amendment duly executed by the Borrower Borrowers, Administrative Agent and the Lenders constituting Required Lenders.
