Common use of Effective Date of This Agreement and Termination Thereof Clause in Contracts

Effective Date of This Agreement and Termination Thereof. (a) This Agreement shall become effective at 9:00 A.M., New York City time, on the first full business day after the Registration Statement has become effective, or at such earlier time after the Registration Statement has become effective as you in your discretion shall first release the Units for sale to the public. For the purposes of this Section 10, the Units shall be deemed to have been released for sale to the public upon release by you of the publication of a newspaper advertisement relating to the Units or upon release by you of telegrams or facsimile transmissions offering the Units for sale, whichever shall first occur. You or the Company may prevent this Agreement from becoming effective without liability of any party to any other party, except as noted below, by giving the notice hereinafter specified at or before the time this Agreement becomes effective; provided however, that the provisions of this Section, Section 4(e), Section 6 and Section 7 shall at all times be effective.
