Effect Upon Termination. Upon the Termination Date, except as provided below, this Agreement shall terminate and shall be of no further force and effect and all further obligations of Administrator, Parent and/or their Affiliates and the Group under this Agreement shall terminate without further liability of the Administrator, Parent and/or their Affiliates to the Group or the Group to the Administrator, Parent and/or their Affiliates (including, without limitation, any liability for loss of anticipated profits over the remaining term of this Agreement or from a sale of the Purchase Assets pursuant to this Article X at less than Fair Market Value), except with respect to the obligations set forth below. The foregoing to the contrary notwithstanding:

Effect Upon Termination. Unless indicated otherwise in the written termination notice, upon the termination of any Service, all remaining Services will continue in full force and effect; provided, however, that should this Master Agreement be terminated, all Services in effect as of the date of termination will also terminate. Except as otherwise provided for herein, upon termination, all further obligations of the parties pursuant to this Master Agreement or the particular Service that was terminated, whichever the case may be, will terminate (except the obligation of COMPANY, BPPR and their appropriate respective Subsidiaries to make a payment for any unpaid and properly invoiced amounts, in accordance with Section 3.2) without further liability of any party to the others; provided, however, that termination will not release the party that terminates from any liability which at the time of termination had already accrued to the non-terminating party or parties. No party shall be liable to the others for damages of any kind solely as a result of terminating this Master Agreement in accordance with its provisions. Furthermore, any such termination will be without prejudice to any rights or remedies any party may have arising out of any breach of any material representation, warranty, covenant or condition by any other party hereto.
Effect Upon Termination. Upon expiration or termination of this Agreement, the following shall be applicable and effective:

Upon termination of the Agreement, all licenses granted herein shall automatically cease and Customer shall discontinue all use of the Software, Subscription Services and Service Deliverables, and destroy any copies of Software or Service Deliverables in Customer’s possession or control. Upon Licensor’s request, Customer shall deliver to Licensor a certificate executed by an authorized officer of the Customer stating that Customer has destroyed all such copies of the Software and Service Deliverables. Any obligation of either Party which accrued prior to termination, including without limitation, any payment due and owing, and Sections 1 (Definitions), 3 (Payment Terms), 4 (Ownership and Copyright), 5 (Warranty), 6 (Indemnification), 7 (Limitation of Liability), 8 (Confidential Information), and 10 (Miscellaneous) shall survive. Termination of the Agreement shall also automatically terminate any active Statements of Work or Maintenance Terms.
Effect Upon Termination a) Upon the termination of this Agreement, BPPR shall (unless EVERTEC otherwise agrees to in writing):

No new Statements of Work may be entered into after the Termination Date, but termination of this Agreement by either party will not cause the automatic cancellation of any pending Statement of Work signed by both parties prior to the Termination Date (the "Remaining Statements of Work"). Services to be performed under Remaining Statements of Work will continue until completion, unless Customer cancels any EDT Learning [LOGO] The Power of e-learning Simplified or all of the Remaining Statements of Work as provided herein. This Agreement will remain in effect with respect to the Remaining Statements of Work until their completion, at which time this Agreement will automatically terminate.
Effect Upon Termination. (a) Unless indicated otherwise in the written termination notice, upon the termination of any Service, all remaining Services will continue in full force and effect; provided, however, that should this Master Agreement be terminated, all Services in effect as of the date of termination will also terminate.
Effect Upon Termination. (i) In the event the Term of this Employment Agreement is terminated by reason of death or disability, all rights, duties and obligations of the parties pursuant to this Employment Agreement shall terminate, except to the extent of (A) Executive's Base Salary, Bonus Compensation and unpaid business expenses otherwise payable pursuant to the terms of Section 5 hereof through the date of termination and (B) death or disability benefits receivable pursuant to the Employer's benefit plans.
Effect Upon Termination. Termination or cancellation of this AGREEMENT for any reason shall not in any way impair or reduce the obligations of the parties under Paragraph 4.04 (Deferred Fees), Section 8 (Confidentiality), and Section 9 (Miscellaneous Provisions). Any termination shall in no way restrict any other rights or remedies which may accrue to either party under the provisions of this AGREEMENT or through due legal process.
