Effect of Termination and Abandonment. Effect of Termination and Abandonment. In the event of termination of this Agreement and the abandonment of the Merger Purchase pursuant to this Article 78, all obligations of the parties hereto no party to this Agreement shall terminatehave any liability or further obligation to any other party to this Agreement, except the obligations of the parties pursuant to this Section 7.2 and (a) as set forth in Sections 5.5(b5.02, 5.03(b), 5.65.03(c), 7.38.03 and 9.06 hereof, 7.4, 8.5 and 8.6 and except (b) that nothing herein shall termination will not relieve any a breaching party from liability for any willful breach of any covenant or agreement under this AgreementAgreement giving rise to such termination.
