Effect of Registration. (1) On the registration of a Limited Liability Partnership and its Limited Liability Partnership Agreement the Registrar shall:
Effect of Registration. A transferor of a share remains the holder of the share transferred until the transfer is registered and the name of the transferee is entered in the Register in respect of the share.
Effect of Registration. The parties agree and acknowledge that if any of the Land is subdivided and sold, then all the obligations in this planning agreement are jointly and severally binding on, and enforceable against, the owner of each subdivided parcel of the land from time to time, on whose title this planning agreement is registered, as if each owner for the time being had entered into this planning agreement.
Effect of Registration. 1. Registration of a Company as a CARICOM Enterprise under paragraphs 4 to 6 of Article 6 of this Agreement shall confer the status of a CARICOM Enterprise on such Company and entitle the CARICOM Enterprise to the benefits provided for by this Agreement.
Effect of Registration. Notwithstanding any other provision of this Agreement, the Holders hereby agree that if the Company initiates a registration of equity securities for its own account in compliance with the provisions of Section 2.1(b)(iii) after the making of the IPO Demand but prior to the filing of the preliminary registration statement therefor, then, so long as the Company complies with the provisions of Section 2.1(b)(iii), such registration shall be deemed a Company registration that shall be governed by the terms of this Section 2.2 (and not by the terms of Section 2.1 other than the provisions of Section 2.1(b)(iii)) and such registration shall preempt the IPO Demand in accordance with Section 2.1(b)(iii) so long as the Company complies with the provisions of Section 2.1(b)(iii).
Effect of Registration. Notwithstanding the foregoing, the Company shall cease to have rights of repurchase pursuant to this Section 9(a) on and after a Registration Date.
Effect of Registration. The Trustee shall for all purposes be entitled to treat the Unitholder in whose name any Units are registered as the absolute owner thereof for all purposes hereunder, any notice to the contrary notwithstanding. The Trustee shall not be charged with notice of or be bound to see to the execution of any trust, whether express, implied or constructive, in respect of any Unit and may deal with any Unit on the direction of the registered holder thereof, whether named as trustee or otherwise as though that Person were the beneficial owner thereof. Only Unitholders whose Units are recorded on the Register shall be entitled to vote or to receive distributions or otherwise exercise or enjoy the rights of Unitholders.
Effect of Registration. 5. The Declarant shall attend to the registration of this Agreement against title to the Units at its own expense. It is intended that this Agreement shall be registered against title to all Units, such that the rights and obligations set out herein of any one Owner to another are to apply to all Owners in respect of all other Owners.
Effect of Registration. The Company represents and warrants that the registration procedures described in Section 4 of this Agreement are sufficient to enable DGI to lawfully sell the Registrable Shares upon the effective date of the registration statement applicable to each tranche of shares described in Section 4 of this Agreement, provided that Seller offers and sells the shares in accordance with the plan of distribution to be set forth in the prospectus relating to the sale of such shares and provided that the effectiveness of such registration statement is not terminated or suspended.
Effect of Registration. The receipt by the Person in whose name any Unit is recorded on the Register shall be a sufficient discharge for all monies, securities and other property payable, issuable or deliverable in respect of such Unit and from all liability therefor. The Partnership and the General Partner are entitled to treat the Person in whose name a Unit is registered as the absolute owner thereof.
