Effect of Due Diligence. No investigation by any of the parties hereto into the business, operations and conditions of the other parties shall diminish in any way the effect of any representation or warranty made by either party in this Agreement or shall relieve such party of any of its obligations under this Agreement.
Effect of Due Diligence. The fact that Purchaser will or may have conducted an investigation of the Purchased Patents prior to the Effective Date shall in no way mitigate or qualify the representations and warranties of Seller herein. Seller acknowledges and agrees that Purchaser is relying on Seller’s representations and warranties in executing this Agreement and consummating the transactions contemplated herein.
Effect of Due Diligence. No investigation by or on behalf of the Buyer or G-III into the business, operations, prospects, assets or condition (financial or otherwise) of the Acquired Companies shall diminish in any way the effect of any representations or warranties made by the Sellers in this Agreement or shall relieve the Sellers of any of their respective obligations under this Agreement.
Effect of Due Diligence. No investigation by TBA or CPI into the business, operations and condition of the other shall diminish in any way the effect of any representations or warranties made by either party in this Agreement or shall relieve such party of any of its obligations under this Agreement.
Effect of Due Diligence. No investigation by or on behalf of LifeQuest into the business, operations, prospects, assets or condition (financial or otherwise) of the Seller shall diminish in any way the effect of any representations or warranties made by Seller in this Agreement or shall relieve Seller of any of its obligations under this Agreement.
Effect of Due Diligence. No investigation by or on behalf of NMHC and the Purchaser into the business, operations, prospects, assets or condition (financial or otherwise) of the Business shall diminish in any way the effect of any representations or warranties made by the Seller and the Owners in this Agreement or shall relieve the Seller or any of the Owners of any of its or his obligations under this Agreement.
Effect of Due Diligence. Notwithstanding any investigation or audit conducted by any of the parties to this Agreement prior to the Closing, each of the parties to this Agreement shall be entitled to rely upon the representations and warranties made by the other parties pursuant to this Agreement, and such representations and warranties shall not be deemed to have been waived or otherwise affected by any such investigation or audit or any knowledge attributable to any party.
Effect of Due Diligence. No investigation by or on behalf of the BCC Parties into the business, operations, prospects, assets or condition (financial or otherwise) of the Seller shall diminish in any way the effect of any representations or warranties made by Seller or any Stockholder in this Agreement or shall relieve Seller or any Stockholder of any of its or his obligations under this Agreement.
Effect of Due Diligence. No investigation by or on behalf of Xxxxxxxxx or Xxxxxxxxx Subsidiary into the Business, operations, prospects, assets or condition (financial or otherwise) of the Company shall diminish in any way the effect of any representations or warranties made by Principals or the Company in this Agreement or shall relieve Principals or the Company of any of their obligations under this Agreement except to the extent set forth in Section 12.10.
Effect of Due Diligence. The representations, warranties, covenants and obligations of an Indemnifying Party, and the rights and remedies that may be exercised by Indemnified Parties, shall not be limited or otherwise affected by or as a result of any information furnished to, or any investigation made by or knowledge of, any of the Indemnified Parties or any of their Representatives.
