Duty of Loyalty During Employment. I agree that during the period of my employment by Company I will not, without Company’s express written consent, directly or indirectly engage in any employment or business activity which is directly or indirectly competitive with, or would otherwise conflict with, my employment by Company.

Employee agrees that, during the period of employment by Employer, Employee shall devote all of Employee’s working time, attention, knowledge and skill to the business and interest of Employer as Employer may from time to time reasonably request. Further, Employee will not, without Employer’s express written consent, engage in any employment or business activity other than for Employer, including but not limited to employment or business activity which is competitive with, or would otherwise conflict with, his or her employment by Employer.

During the Term of his employment with the Company, except on behalf of the Company or Healthspan, Executive will not directly or indirectly, whether as an officer, director, stockholder, partner, proprietor, associate, representative, employee, consultant, debtholder or in any capacity whatsoever engage in, become financially interested in, participate in, be employed by or have any business connection with any other person, corporation, firm, partnership or other entity whatsoever which competes with the Company, anywhere throughout the world, in any line of business engaged in (or which the Company has publicly announced that it plans to be engaged in) by the Company other than de minimis stock holdings in public companies.
