Common use of Duties of the Sub-Adviser Clause in Contracts

Duties of the Sub-Adviser. Subject to supervision and oversight of the Adviser and the Board of Trustees (the “Board”), and in accordance with the terms and conditions of the Agreement, the Sub-Adviser shall manage all of the securities and other assets of the Funds entrusted to it hereunder (the “Assets”), including the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective investment objectives, guidelines, policies and restrictions as stated in each Fund’s prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “Prospectus”), and subject to the following:

Duties of the Sub-Adviser. Subject to supervision and oversight of the Adviser and the Board of Trustees (the “Board”), and in accordance with the terms and conditions of the Agreement, the Sub-Adviser shall manage all of the securities and other assets of the Funds entrusted to it hereunder (the “Assets”), including the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective investment objectives, guidelines, policies and restrictions as stated in each Fund’s prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “Prospectus”), and subject to the following:

Duties of the Sub-Adviser. Subject to the oversight and supervision and oversight of the Adviser and the Trust’s Board of Trustees (and consistent with its fiduciary duties to the “Board”), and in accordance with the terms and conditions of the AgreementFund, the Sub-Adviser shall manage all of the securities and other assets of the Funds Fund entrusted to it hereunder (the “Assets”), including the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective Fund’s investment objectives, guidelines, policies and restrictions as stated in each the Fund’s prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “Prospectus”), and subject to the following:

Subject to supervision and oversight of by the Adviser and the Trust’s Board of Trustees (the “Board”), and in accordance with the terms and conditions of the AgreementTrustees, the Sub-Adviser shall shall, subject to Section 2 hereof, manage all of the securities and other assets of the Funds each Fund entrusted to it hereunder (the “Assets”), including by recommending the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective Fund’s investment objectives, guidelines, policies and restrictions as stated in each Fund’s prospectus and statement of additional information, except as set forth in the written instructions and directions of the Adviser, as currently in effect and as amended or supplemented from time to time and, in each case, as previously provided to Sub-Adviser (referred to collectively as the “Prospectus”), and subject to the following:

Duties of the Sub-Adviser. Subject to supervision and oversight of direction by the Adviser and the Trust's Board of Trustees (the “Board”), and in accordance with the terms and conditions of the AgreementTrustees, the Sub-Adviser shall manage on a discretionary basis the investment operation of all of the securities and other assets of the Funds Portfolio entrusted to it hereunder (the “"Assets”)") and the composition of the Portfolio, including the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective Portfolio's investment objectives, guidelines, policies and restrictions as stated in each Fund’s the Portfolio's prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time by written notice to the Sub-Adviser (referred to collectively as the “"Prospectus”"), and subject to the following:

Duties of the Sub-Adviser. Subject to supervision and oversight of by the Adviser and the Fund's Board of Trustees (the “Board”), and in accordance with the terms and conditions of the AgreementDirectors, the Sub-Adviser shall manage provide investment advice on all of the investments, securities and other assets of the Funds Fund entrusted to it hereunder by the Adviser (the “"Assets”"), on a continuous and ongoing basis, at Sub-Adviser's expense, including the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective Fund's investment objectives, guidelines, policies and restrictions as stated in each the Fund’s 's prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “"Prospectus”"), and subject to the following:

Duties of the Sub-Adviser. Subject to supervision and oversight of the Adviser and the Board of Trustees Directors (the “Board”), and in accordance with the terms and conditions of the Agreement, the Sub-Adviser shall manage all of the securities and other assets of the Funds entrusted to it hereunder (the “Assets”), including the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective investment objectives, guidelines, policies and restrictions as stated in each Fund’s prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “Prospectus”), and subject to the following:

Duties of the Sub-Adviser. Subject to supervision and oversight of the Adviser and the Board of Trustees (the “Board”), and in accordance with the terms and conditions of the Agreement, the Sub-Adviser shall manage the investment and reinvestment of all of the securities and other assets of the Funds each Fund entrusted to it hereunder (the “Assets”), including the purchase, retention and disposition of the Assets, in accordance with the Funds’ each Fund’s respective investment objectives, guidelines, policies and restrictions as stated in each Fund’s prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “Prospectus”), and subject to the following:

Duties of the Sub-Adviser. Subject to supervision and oversight of by the Adviser and the Trust's Board of Trustees (the “Board”), and in accordance with the terms and conditions of the AgreementTrustees, the Sub-Adviser shall manage manage, in consultation with and subject to the direction of the Adviser, all of the securities and other assets of the Funds entrusted to it hereunder (the “"Assets”"), including the purchase, retention and disposition of the Assets, in accordance with the Funds’ respective ' investment objectives, guidelines, policies and restrictions as stated in each Fund’s prospectus the Funds' prospectus(es) and statement statements of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “Prospectus”"Prospectuses"), and subject to the following:

Duties of the Sub-Adviser. Subject to supervision and oversight of by the Adviser and the Fund’s Board of Trustees (the “Board”), and in accordance with the terms and conditions of the AgreementTrustees, the Sub-Adviser shall manage all of the securities and other assets of the Funds Fund entrusted to it by the Adviser hereunder (the “Assets”), including ) solely with respect to the purchase, retention and disposition implementation of the Assets, Fund’s covered call strategy and in performing this function to determine in its own discretion to purchase and sell covered call options on the Assets in accordance with the Funds’ respective Fund’s investment objectives, guidelinesobjective, policies and restrictions as stated in each the Fund’s prospectus and prospectus, statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “Prospectus”), and subject to the following:

Subject to supervision and oversight of by the Adviser and the Fund's Board of Trustees (the “Board”), and in accordance with the terms and conditions of the AgreementDirectors, the Sub-Adviser shall manage all shall, on a discretionary basis without prior consultation with the Adviser of the securities and other assets Fund's board of directors, manage the investment operations of the Funds entrusted to it hereunder (Portfolio and the “Assets”)composition of the Portfolio, including the purchase, retention and disposition of the Assetssecurities and other assets, in accordance with the Funds’ respective Portfolio's investment objectives, guidelines, policies and restrictions as stated in each Fund’s the Portfolio's prospectus and statement of additional information, as currently in effect and as amended or supplemented from time to time (referred to collectively as the “"Prospectus”"), and subject to the following:

Duties of the Sub-Adviser.
