Duties of the Settlement Administrator. 1. Subject to the approval of the Court, Angeion Group shall be retained as the Settlement Administrator to help implement the terms of this Agreement. Following the Court’s issuance of the Notice Approval Order and the Court’s appointment of the proposed Settlement Administrator, the Settlement Administrator shall disseminate notice to the Class as provided for in the Declaration of the Settlement Administrator, attached as Exhibit 8 to this Agreement, as specified in the Notice Approval Order and in this Agreement, and in order to comply with all applicable laws, including, but not limited to, the Due Process Clause of the Constitution of the United States. The Settlement Administrator shall abide by the terms, conditions, and obligations of this Agreement, the Settlement Claim Procedures and Claim Calculation Protocol, and the Orders issued by the Court in this Action.

The Settlement Administrator shall maintain all such records as are required by applicable law in accordance with its normal business practices, and such records will be made available to Settlement Class Counsel and Defendants’ Counsel, the Parties and their representatives promptly upon request. The Settlement Administrator shall also provide reports and other information to the Court as the Court may require. Should the Court request or should it be reasonably advisable to do so, the Parties, in conjunction with the Settlement Administrator, shall submit a timely report to the Court summarizing the work performed by the Settlement Administrator. The Settlement Administrator’s duties will include sending the Class Notice to all Members of the Settlement Class; sending CAFA notice; creating, maintaining, and monitoring a settlement website; receiving and administering claims for Qualified Past Repair reimbursements; receiving and determining validity of opt-out notices and objections; providing the Settling Parties with periodic status reports about the delivery of the notices, claims administration status, and receipt of objections to and requests to opt out; and otherwise administering the Settlement pursuant to this Agreement. Along with the motion for preliminary approval, the proposed Settlement Administrator shall file a declaration describing in detail the Notice Plan.

The Settlement Administrator(s) shall perform its or their obligations in a rational, responsive, cost effective, and timely manner, acting under the supervision of Class Counsel. The Settlement Administrator(s) shall maintain reasonably detailed records of its or their activities under this Agreement, as well as all records required by applicable law, in accordance with its or their normal business practices.
Duties of the Settlement Administrator. The Settlement Administrator will be responsible for establishing a QSF account; preparing and mailing the Settlement Notice to Eligible Settlement Class Members; preparing and mailing Settlement Checks; distributing approved Service Awards and attorneys’ fees and expenses; calculating and paying all appropriate taxes and complying with all applicable tax reporting obligations, including preparing and filing all applicable tax forms; retaining and providing a copy of the Settlement Checks signed by the Participating Settlement Class Members to Defendant’s Counsel; and preparing a declaration describing all duties performed and claims administration statistics.
Duties of the Settlement Administrator. The Settlement Administrator will be responsible for mailing the Class Notices, handling inquiries from members of the Settlement Class concerning the Class Notices, calculating amounts distributable to members of the Settlement Class, maintaining the settlement funds in an appropriate interest-bearing account, preparing, administrating and distributing any and all amounts to members of the Settlement Class, issuing a final report and performing such other duties as the Parties may direct.
