Common use of Duties of the Registrar Clause in Contracts

Duties of the Registrar. The Registrar shall hold in safe custody all unauthenticated Global Notes and Definitive Note Certificates delivered to it in accordance with Clause 3.3 (Availability of Definitive Note Certificates) and shall ensure that they are authenticated and delivered only in accordance with the terms of this Agreement, of the relevant Global Note (if applicable) and of the Conditions.

The Registrar shall hold in safe custody keeping all unauthenticated Global Notes and Definitive Note Certificates delivered to it in accordance with Clause 3.3 3.7 (Availability of Definitive Note Certificates) and shall take such security measures as may be reasonably necessary to prevent their theft, loss or destruction, and shall keep an inventory of all Note Certificates, and shall ensure that they are authenticated and delivered only in accordance with the terms of this Agreementhereof, of the relevant Global Note Notes (if applicable) and of the Conditions.
