Duties of Servicer as Custodian. (a) Safekeeping. The Servicer (or its Affiliates, but only in accordance with the second following sentence) shall hold the Receivable Files for the benefit of the Issuing Entity and the Indenture Trustee and maintain such accurate and complete accounts, records and computer systems pertaining to each Receivable File as shall enable the Issuing Entity to comply with this Agreement. In performing its duties as custodian, the Servicer shall act with reasonable care, using that degree of skill and attention that the Servicer exercises with respect to the receivable files relating to all comparable equipment receivables that the Servicer services for its Affiliates or others. The Servicer, in its capacity as custodian, may at any time delegate its duties as custodian to any Affiliate of the Servicer; provided, that no such delegation shall relieve the Servicer of its responsibility with respect to such duties and the Servicer shall remain obligated and liable to the Issuing Entity, the Depositor and the Indenture Trustee for its duties hereunder as if the Servicer alone were performing such duties. The Servicer shall conduct, or cause to be conducted, periodic audits of the Receivable Files and the related accounts, records and computer systems, in such a manner as shall enable the Issuing Entity or the Indenture Trustee to verify the accuracy of the Servicer’s record keeping. The Servicer shall promptly report to the Issuing Entity and the Indenture Trustee any material failure on its part, or its Affiliate’s part, to hold the Receivable Files and maintain its accounts, records and computer systems as herein provided and promptly take appropriate action to remedy any such failure. Nothing herein shall be deemed to require an initial review or any periodic review by the Issuing Entity, the Trustee or the Indenture Trustee of the Receivable Files.

The Servicer shall conduct, or cause take all actions necessary with respect to be conducted, periodic audits the Trust Student Loan Files held by it under this Agreement and of the Receivable Files and the related accounts, records and computer systems, in such a manner as shall order to enable the Issuing Entity or the Indenture Trustee Issuer to verify the accuracy of the Servicer’s 's record keepingkeeping with respect to the Servicer's obligations as custodian hereunder. The Servicer shall promptly report to the Issuing Entity Issuer, the Administrator, the Indenture Trustee and the Indenture Trustee Administrator any material failure on its part, or its Affiliate’s part, part to hold the Receivable Trust Student Loan Files and maintain its accounts, records and computer systems as herein provided and promptly take appropriate action to remedy any such failure. Nothing herein shall be deemed to require an initial review or any periodic review by the Issuing EntityIssuer, the Owner Trustee, the Indenture Trustee or the Indenture Trustee Administrator of the Receivable Trust Student Loan Files. The Servicer shall promptly report to the Issuing Entity Issuer and the Indenture Trustee any material failure on its part, or its Affiliate’s part, part to hold the Receivable Files and maintain its accounts, records and computer systems as herein provided and shall promptly take appropriate action to remedy any such material failure. The Servicer (or its Affiliates, but only in accordance with the second following sentence) shall hold the Receivable Files Trust Student Loan Files, including any electronic records evidencing the Notes, for the benefit of the Issuing Entity Issuer and the Indenture Trustee and maintain such accurate and complete accounts, records and computer systems pertaining to each Receivable File Trust Student Loan File, including any electronic records evidencing the Notes, as shall enable the Issuing Entity Issuer to comply with this Agreement. In performing its duties as custodian, custodian the Servicer shall act with reasonable care, using that degree of skill and attention that the Servicer exercises with respect to the receivable student loan files relating to all comparable equipment receivables similar student loans that the Servicer services for on behalf of SLM Corporation or any of its Affiliates or others. The Servicerand shall ensure that it fully complies with all applicable Federal and state laws, in its capacity as custodianincluding the Higher Education Act and any applicable e-sign laws, may at any time delegate its duties as custodian to any Affiliate of the Servicer; provided, that no such delegation shall relieve the Servicer of its responsibility with respect to such duties and the Servicer shall remain obligated and liable to the Issuing Entity, the Depositor and the Indenture Trustee for its duties hereunder as if the Servicer alone were performing such dutiesthereto. The Servicer shall conduct, or cause take all actions necessary with respect to be conducted, periodic audits the Trust Student Loan Files held by it under this Agreement and of the Receivable Files and the related accounts, records and computer systems, in such a manner as shall order to enable the Issuing Entity Issuer or the Indenture Trustee to verify the accuracy of the Servicer’s record keepingkeeping with respect to the Servicer’s obligations as custodian hereunder. To the extent that the Servicer does not have possession of all of the electronic records evidencing the same, the Servicer shall maintain such agreements as are necessary for such third-party having possession of such records to be deemed to be the sub-custodian, including, but not limited to, an agreement to maintain such electronic records as required under the Higher Education Act or any applicable e-sign laws for the period of time required by such laws or as may be necessary to enforce such Notes. The Servicer shall promptly report to the Issuing Entity Issuer, the Administrator and the Indenture Trustee any material failure on its part, or its Affiliate’s part, part to hold the Receivable Trust Student Loan Files and maintain its accounts, records and computer systems as herein provided and promptly take appropriate action to remedy any such failure. Nothing herein shall be deemed to require an initial review or any periodic review by the Issuing EntityIssuer, the Eligible Lender Trustee or the Indenture Trustee of the Receivable Trust Student Loan Files. If in the reasonable judgment of the Eligible Lender Trustee it is necessary to preserve the interests of the Noteholders and the Trust in the Trust Student Loans or at the request of the Administrator, the Servicer shall transfer physical possession of the notes evidencing the Trust Student Loans to the Eligible Lender Trustee, the Indenture Trustee or any other custodian for either of them designated by the Eligible Lender Trustee.

To the extent that the Subservicer does not have possession of all of the electronic records evidencing the promissory notes of the Borrowers, the Subservicer shall maintain such agreements as are necessary for any third-party having possession of such records to be deemed to be its sub-custodian, including, but not limited to, an agreement to maintain such electronic records as required under the Higher Education Act or any applicable e-sign laws for the period of time required by such laws or as may be necessary to enforce such promissory notes of the Borrowers; provided, that any failure by the Subservicer to maintain such electronic records or agreements which is caused by the failure of CSD to deliver such electronic records to the Subservicer or its designee shall not constitute a Subservicer Default; provided, that the Subservicer notifies CSD of such failure after discovery thereof.
