Duties as Consultant. During the Term, the Consultant shall, subject to supervision by the Board, perform duties consistent with his experience and abilities, as may be reasonably and properly assigned to the Consultant by the Board. It is contemplated that the Consultant shall render services to the Company from his residence and/or from such other location(s) as may from time to time be convenient to the Consultant. Upon the Consultant's request, the Company shall provide him with an office, furnished and equipped in a manner consistent with the position as a senior consultant and paid for by the Company, at a location reasonably selected by the Consultant.
Duties as Consultant. During the Consulting Period, Jones will make himself available to consult with the Company with rxxxxxt to its Florida and Texas Hotel projects, and other matters as the Company may reasonably request. During the first eight (8) months of the Consulting Period (i.e., through June 30, 2002), Jones agrees that he will be available (if requested by the Company) xx xonsult for at least (but not more than) 30 hours per week. He will travel to Orlando or Grapevine as requested by the Company (but no more than four times per month in the aggregate) during such time. Thereafter, during the remaining eleven (11) months of the Consulting Period, Jones shall be available to consult with the Company approximately fxxx (5) hours per week. Jones acknowledges that during the Consulting Period he will not havx xxx authority to bind the Company to agreements without the express written consent of the Company, and that during such time, he will report to and take instruction from any of the Company's Chief Executive Officer, Chief Financial Officer or Director of Real Estate Development. The Company acknowledges that during the Consulting Period Jones may provide consulting services to or be employed by other hosxxxxxity related businesses, but not prior to June 30, 2002, without the Company's prior written approval and, in the event the Company provides such approval, the Company shall not be relieved of its obligations to pay consulting fees to Jones by reason of Jones' employment by or providing such consulting xxxxices to other xxxxxtality related businesses. In addition, during the Consulting Period, Jones agrees that he will make himself available to consult with the Xxxxany in connection with any present or future actual or threatened litigation or administrative proceedings involving the Company or its affiliates relating to events or conduct occurring (or claimed to have occurred) during the period of his employment or related to his employment with the Company. Jones may terminate this Agreement at any time on thirty (30) days' xxxxxen notice to the Company. If Jones terminates his consulting relationship with the Company prior xx Xxne 30, 2002, then the Company will have no remaining obligations to Jones except to pay him his consulting payment through the date of txxxxxation and to pay the balance of the Key Employee Agreement Termination Fee by making the remaining payments and transferring the automobile
Duties as Consultant. The Consultant’s duties as a consultant shall consist of those duties assigned by the Company’s Chief Executive Officer and agreed upon by the Consultant; provided that such duties shall not require the Consultant’s services for more than the Maximum Number of Days per Year as hereinafter defined.

  • Duties as Sub-Adviser (a) Subject to the oversight and supervision of GEAM and the Board of Trustees of the Trust (the “Board”), the Sub-Adviser will provide a continuous investment program for the Fund with respect to the Sub-Adviser’s Allocated Assets, including investment research and management. The Sub-Adviser will determine from time to time what investments will be purchased, retained or sold by the Fund with respect to such Allocated Assets. The Sub-Adviser will be responsible for placing purchase and sell orders for the Allocated Assets. The Sub-Adviser will consult with GEAM from time to time regarding matters pertaining to the Fund, including market strategy and portfolio characteristics. The Sub-Adviser will provide services under this Agreement in accordance with the Fund’s investment objective, policies and restrictions as stated in the Registration Statement, the Constituent Documents (as defined below), the Investment Guidelines (as defined below), and applicable law. In this connection and in connection with the further duties set forth in this Section 2 as provided below, the Sub-Adviser shall provide GEAM and the Board with such periodic reports and documentation as GEAM or the Board shall reasonably request regarding the Sub-Adviser’s management of the Fund’s Allocated Assets, compliance with applicable laws and rules and the Registration Statement (as defined below) and all requirements hereunder. The Sub-Adviser acknowledges that copies of the Trust’s current registration statement on Form N-1A and any amendments or supplements thereto (“Registration Statement”), and the Trust’s Agreement and Declaration of Trust and By-Laws, if any, (“Constituent Documents”), each as currently in effect, have been delivered to the Sub-Adviser.

  • Duties and Scope of Employment The Company shall employ the Executive in the position of Senior Vice President in charge of Human Resources with such duties, responsibilities and compensation as in effect as of the Effective Date.   • Duties and Responsibilities of Executive During the Employment Period, Executive shall devote his full working time to (a) the business of the Company and its Affiliates and (b) performance of the duties and responsibilities assigned to Executive to the best of Executive’s ability and with reasonable diligence. Notwithstanding the foregoing, the parties acknowledge and agree that Employee may (i) serve on corporate boards or committees (A) listed on Schedule 2(a) hereto or (B) approved by the Board, (ii) serve on civic, educational, religious, public interest, or charitable boards or committees, (iii) manage Employee’s personal and family investments, provided that such activity is not expressly prohibited by Section 10 and (iv) engage in passive investments (the activities referred to in the immediately preceding clauses (i), (ii), (iii) and (iv) being “Permitted Activities”); provided, however, that such activities shall be permitted so long as such activities do not materially interfere with the performance of Employee’s duties and responsibilities under this Agreement or conflict with the business and affairs of the Company.
