Duties and Positions. During the term of this Agreement while employed by the Company, the Executive shall devote his full business time and attention to the business and affairs of the Company and shall use his reasonable best efforts to advance the interests of the Company and its subsidiaries and perform such duties as are consistent with his position as Chief Financial Officer, and as may be assigned to him by the Board of Directors of the Company (the “Board of Directors”).

Duties and Positions. Executive shall be employed as the Chief Executive Officer and President of the Company and shall perform such services of an executive and managerial nature as are consistent with said positions. Executive shall report only to the Board of Directors of Company. Executive's powers and authority shall be superior to those of any other officer or employee of Company. The Executive shall be entitled to five (5) weeks of vacation time each year during the Employment Period and such other holiday, sick and personal days, if any, as provided in the Company’s policy for employees. Unused vacation days can be carried over into any subsequent year but the vacation accrual cannot exceed 5 weeks.
