3.1 Advertising & Marketing Consulting: Consultant shall assist Company with general advertising and marketing services.

Consultant shall serve as a consultant to the Company and its Board of Directors with respect to the general business and financial affairs of the Company. Section 3.02. Consultant shall use his best efforts during the term of this Agreement to provide all information he can to permit the Company’s executives to assume the duties Consultant has previously managed in his role as Executive Director, and will deliver to the Company any original documents and information regarding the activities which he conducted on behalf of ISCO that may be in his possession, if any. These activities involve financing, IR, and ACT negotiations. Whenever feasible, Consultant shall be expected to attend Board meetings whenever asked to do so by the CEO or a Board member.
(a) During the term of this Agreement (unless modified as provided in Section 5 hereof) Consultant shall be available to the Board and/or the CEO of the Company for telephonic and in advice for a minimum of 52 hours per month but Consultant shall not be required to maintain any specific hours or days of availability and shall be free to travel, attend other business or personal affairs so long as he remains generally available to the Company by phone or Internet during such periods of time as he is in the US and within reach of such methods of communication. All matters regarding Consultant’s duties and responsibilities, compensation and access to Consultants services shall be coordinated through the CEO of the Company or an executive designated by the CEO or the Board of Directors.

5.1 Consultant shall report to, and be subject to the authority of the Company's Board of Directors and such persons as it shall direct;
5.2 Assist Company in the review, analysis and structuring of potential mergers and/or acquisitions as well as Company's negotiation of terms for such acquisitions and due diligence investigations;
5.3 Review Company's future Business Plans and operating budgets; and,
5.4 Assist Company in its corporate long range planning and market direction. Nothing herein shall require Consultant without Consultant's prior consent to provide services to the Company more than twenty (20) hours per week for more than forty-eight (48) weeks per year.
DUTIES AND OBLIGATIONS OF CONSULTANT a. Consultant shall provide strategic growth and corporate operations advisory services to Client.
b. Consultant shall assist the Client identify industry-leading management personnel and members of the Board of the Director.
c. Consultant shall provide introductions to the Client necessary intelligence for Client’s business development purpose.
d. Consultant shall assist the Client with Client’s marketing efforts and promote its overall corporate image.
e. Consultant shall introduce high net worth individuals and investment entities, investors to assist Client with its financing needs.
