(a) (1) The Executive shall be employed as the Chief Executive Operating Officer and President (jointly referred to herein as “CEO”) of the Company and shall oversee, direct and manage be responsible for all of the day-to-day operations administrative and operational aspects of the Company’s business. The Executive shall report directly to the Company’s Board of Directors Chief Executive Officer (the “BoardCEO”).

Duties and functions. (a) (1) The Executive shall be employed as initially render services to the Company, in the full-time position of Chief Financial Officer. Executive shall initially report to the Chief Executive Officer and President (jointly referred to herein as “CEO”) of the Company Company. Executive shall also report to the Board of Directors and, when requested, consult with and shall oversee, direct and manage all of advise the day-to-day operations other officers of the Company. The Executive shall report directly to the Company’s Board of Directors (the “Board”).

(a) (1) The Executive shall be employed as the Chief Executive Officer Senior Vice President, General Counsel, Secretary and President (jointly referred to herein as “CEO”) Director of Corporate Development of the Company and shall overseeperform such duties as are customarily performed by a person holding such positions. In his capacity as Senior Vice President, direct and manage all of General Counsel, Secretary, the day-to-day operations of the Company. The Executive shall report directly to the Company’s Board of Directors (or such persons as designated by the “Board”)Company’s Board of Directors. In his capacity as Director of Corporate Development, the Executive shall report directly to the Company’s Chief Executive Officer.
