Duration of licenses. Licenses granted on a subscription basis expire at the end of the applicable subscription period unless renewed. Licenses granted for metered Products billed periodically based on usage continue as long as Customer continues to pay for its usage of the Product. All other licenses become perpetual upon payment in full.

Subscription Licenses and most Software Assurance rights are temporary and expire when the applicable Enrollment is terminated or expires, unless the Enrolled Affiliate exercises a buy-out option, which is available for some Subscription Licenses. The Licenses granted to Xxxxxx in Section 4.1 shall commence on the Effective Date and, unless otherwise agreed by the Parties in writing, shall terminate upon the effective termination of this Agreement; provided that if, and only if, the termination of this Agreement occurs by expiration at the end of the Product Royalty Term, then effective upon such termination (i) Kamada hereby grants to Xxxxxx a fully paid-up, non-exclusive, royalty-free, perpetual, non-cancellable, license, with rights to Sublicense, under the Kamada Licensed Patent Rights and the Kamada Licensed Know-How to develop, make, have made, import, export, use, sell, offer for sale and have sold the Xxxxxx Products in the Field in accordance with this Agreement and (ii) Kamada covenants that it shall not thereafter attempt to enforce against Xxxxxx, its Affiliates or Permitted Sublicensees any of the Kamada Licensed Patent Rights in the Field.
Duration of licenses. All licenses granted in this Article 2 shall commence on the Closing Date (or, as applicable, the Project Commencement Date for the Project relating to the applicable Technology) and continue in perpetuity, or, in the case of Patents and Copyrights, until the expiration of the term thereof.
