Notwithstanding any other provision of this Custody Agreement, the Custodian shall not be obligated to act upon Instructions (including the delivery of any Property to any Person) until all the amounts due and owing to the Custodian under this Custody Agreement have been paid in full. The Custodian shall give the Client notice of its decision not to act as soon as practicable upon the making of such decision; provided, the failure of the Custodian to give such notice shall not impair its decision hereunder.
