Common use of Due Organization, Good Standing and Power Clause in Contracts

Due Organization, Good Standing and Power. Buyer is a corporation duly organized, validly existing and in good standing under the laws of Delaware. Buyer has all requisite corporate power and authority to enter into this Agreement and each other agreement expressly provided for herein, to perform its respective obligations hereunder and thereunder and to own, lease and operate its assets and to conduct its business as now conducted.

Due Organization, Good Standing and Power. Buyer is a corporation duly organized, validly existing and in good standing under the laws of Delaware. Buyer Delaware and has all the requisite corporate power and authority to enter into this Agreement and each other agreement expressly provided for herein, to perform its respective obligations hereunder and thereunder and to own, lease and operate its assets and to conduct the business being conducted by it. Buyer has delivered true, correct and complete copies of its business as now conductedcertificate of incorporation and by-laws to Seller.
