Due Organization and Existence. The Corporation is a nonprofit public benefit corporation duly organized and existing under the Nonprofit Public Benefit Corporation Law of the State of California, has full legal right, power and authority to enter into this Lease, the Site and Facilities Lease, and the Assignment Agreement and to carry out and consummate all transactions contemplated hereby and thereby, and by proper action the Corporation has duly authorized the execution and delivery of this Lease, the Site and Facilities Lease, and the Assignment Agreement.
