Common use of Due Diligence Review Clause in Contracts

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent or counsel for the Agent, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent or counsel for the Agent, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents and the Forward Purchasers or counsel for the AgentAgents and the Forward Purchasers, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will timely cooperate with any reasonable due diligence review reasonably requested conducted by the Agent or counsel for the Agent, fully Agent in connection with the offer and in a timely manner, in connections with offers and sales sale of Shares from time to timecontemplated herein or in any Terms Agreement, including, without limitation, and including upon reasonable notice, providing such information and making available such documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices, as the Agent may reasonably request.

The Company will cooperate with any due diligence review reasonably requested by the an Agent or counsel for the AgentAgents, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate cooperate, fully and in a timely manner upon reasonable notice, with any due diligence review reasonably requested by the Agent Agents or counsel for the Agent, fully and Agents in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices, and using its commercially reasonable efforts to provide access to the Company’s auditors. For the avoidance of doubt, any such request by an Agent at the time such Agent is requested to commence sales hereunder shall be deemed a reasonable request.

The Company will cooperate upon reasonable notice with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent or counsel for the Agent, fully and in a timely manner, in connections with offers and sales of Shares Placement ADSs from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate upon reasonable notice with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely mannerafter consultation with the Company, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and after consultation with the Company, in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents and the Forward Purchasers or counsel for the AgentAgents and the Forward Purchasers, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.:

The Company will reasonably cooperate with any due diligence review reasonably requested by the Agent Agents or the Forward Sellers and the Forward Purchasers, as the case may be, or counsel for the AgentAgents or the Forward Sellers and the Forward Purchasers, fully and in a timely manneras the case may be, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, officers during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent any Agent, any Forward Purchaser or counsel for the AgentAgents and the Forward Purchasers, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely mannermanner upon reasonable notice, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents, the Forward Sellers and the Forward Purchasers or counsel for the AgentAgents, the Forward Sellers and the Forward Purchasers, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent Manager or counsel for the AgentManager, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will reasonably cooperate on a timely basis with any reasonable due diligence request from, or review reasonably requested by conducted by, the Agent or its counsel for the Agent, fully and from time to time in a timely manner, in connections connection with offers and sales of Shares from time to timeShares, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal officesoffices and/or by telephone, as the Agent or its counsel may reasonably request (each such process, a “Due Diligence Process”).

Due Diligence Review. The Company and the Manager will cooperate with any due diligence review reasonably requested by the Agent or counsel for the Agent, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent Forward Purchasers and the Agents or counsel for the AgentForward Purchasers and the Agents, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent any Manager or counsel for the AgentManagers, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate upon reasonable notice with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review at each Representation Date, and at such other times as may be reasonably requested by the Agent Agents, the Forward Sellers, the Forward Purchasers, counsel for the Agents or counsel for the Agent, Forward Sellers and the Forward Purchasers fully and in a timely manner, in connections connection with offers and sales of the Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent Agents and the Forward Purchasers or counsel for the AgentAgents and the Forward Purchasers, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents or the Forward Sellers and the Forward Purchasers, as the case may be or counsel for the AgentAgents or the Forward Sellers and the Forward Purchasers, fully and in a timely manneras the case may be, after consultation with the Company, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

The Company will cooperate with any due diligence review reasonably requested by the Agent Agents and the Forward Purchaser or counsel for the AgentAgents and the Forward Purchaser, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent Agents, the Forward Purchasers or counsel for the AgentAgents and the Forward Purchasers, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.

Due Diligence Review. The Company will cooperate with any due diligence review reasonably requested by the Agent Agents or counsel for the AgentAgents, fully and in a timely manner, in connections with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices. This Section 4(t) will not apply during a Suspension Period pursuant to Section 3(l) hereof.

The Company will cooperate with any due diligence review reasonably requested by any of the Agent Agents or Forward Purchasers or counsel for the AgentAgents and the Forward Purchasers, fully and in a timely manner, in connections connection with offers and sales of Shares from time to time, including, without limitation, and upon reasonable notice, providing information and making available documents and appropriate corporate officers, during regular business hours and at the Company’s principal offices.
