Due Diligence Approval. The Agent shall have completed its business (including background checks on Xxx Xxxxx, Xxxxxx Xxxxxxx, Xxxx Xxxxxxx and Xxxx Xxxxxxxxxxxx) and legal due diligence pertaining to the Loan Parties and the transactions contemplated hereby with results thereof satisfactory to the Agent in its sole discretion, and the Term Loan and this Agreement shall have been approved by the Agent’s Investment Committee.

Due Diligence Approval. Buyer shall have approved (or be deemed to have approved) all matters to be reviewed in accordance with Section 9 of this Agreement.
Due Diligence Approval. Buyer shall have approved, in Buyer's sole discretion, at or prior to the End of the Inspection Period, all matters disclosed by the Building Documents and other matters discovered by Buyer in the course of Buyer's investigation of the Project. If Buyer fails, at or prior to the End of the Inspection Period, to approve any such matters, by written notice to Seller, then all such matters shall be deemed approved by Buyer and this Buyer's Condition shall be deemed satisfied. Agency acknowledges and agrees that Seller’s Property Documents were provided by Seller to accommodate and facilitate Agency’s investigations relating to the Property and that, except as expressly set forth herein, Seller makes no representations and warranties of any kind regarding the accuracy or thoroughness of the information contained in the Property Documents and Agency shall not be entitled to rely on the Property Documents. Agency must perform its own due diligence investigation of the Property. Prior to the Effective Date Agency has been given the opportunity to perform any testing, investigations and studies relating to the Property that Agency desired in its sole and absolute discretion. Agency has completed all of its due diligence investigations relating to the Property and upon execution of this Agreement hereby irrevocably and unconditionally approves of the Property.
