Domain Name Assignment. Within five Business Days after the Closing Date, Seller will assist Buyer with the transfer to Buyer of all internet domain names that are Acquired Assets. Seller will cease using such internet domain names after the Closing.
Domain Name Assignment. Prior to the Closing Date, the Company Entities will assign to Leeds Equity Advisors, Inc. or a Person designated by Leeds Equity Advisors, Inc. the domain name XXXXXXX.XXX.
Domain Name Assignment. This Domain Name Assignment (this “Domain Name Assignment”) is made effective as of June 13, 2018 by and between by and between Aytu BioPharma, Inc. (formerly known as Aytu BioScience, Inc.), a Delaware corporation, with its principal offices at 000 Xxxxxxxxx Xxxxxxx, Xxxxx 000, Xxxxxxxxx, XX (“Assignor”), and TRIS Pharma, Inc., a New Jersey corporation, with a location at 0000 X.X. Xxxxxxx 000, Xxxxxxxx Xxxxxxxx, XX 00000 (“Assignee”). All capitalized words used in this Domain Name Assignment and not defined herein shall have the meanings ascribed to them in the Asset Sale Agreement (as defined below).
Domain Name Assignment. (a) Seller hereby sells, conveys, assigns, and otherwise transfers to Buyer all of Seller’s right, title, and interest in, to, and associated with the Domain Name.
Domain Name Assignment. (a) Subject to the terms and conditions of this Agreement, Abbott hereby irrevocably and unconditionally sells, transfers, conveys assigns and delivers to CTI all of Xxxxxx'x right, title and interest in and to the Domain Name and the registration thereof, together with the goodwill associated therewith.
Domain Name Assignment. Promptly following the Closing, the Stockholders agree to use their commercially reasonable efforts to take, or cause to be taken, all action, and to do, or cause to be done, all things necessary to consummate and make effective the transfer, conveyance and assignment of the domain names listed in Section 9.6 of the Blass Disclosure schedule to Buyer or Buyer’s designee. Domain Name Assignment. The Company hereby, assigns, sells, quitclaims and transfers to the Purchaser all rights of license, assignment, ownership, title or other interest in and to the Domain Names. The Company covenants to promptly take whatever actions are reasonably necessary, including, but not limited to, executing additional assignments as requested by the Company, to assist the Purchaser in perfecting the Purchaser's rights to the Domain Names. In particular, the Company hereby covenants to fully cooperate with and assist the Company in the submission of any electronic mail messages required by Network Solutions, Inc. ("NSI") (or any other entity responsible for maintaining records of ownership of Internet domain names) to transfer the assignment of the Domain Names from the Company to the Purchaser, in accordance with NSI's (or such other entity's) procedures and policies.
Domain Name Assignment. This Domain Names Assignment is delivered pursuant to the Closing under that certain Purchase Agreement (the “Agreement”) dated as of May 8, 2007, between Semotus Solutions Inc., as the “Seller”, and Stockgroup Systems Ltd., as the “Purchaser”. Capitalized terms used in this Domain Names Assignment have the same meanings given to them in the Agreement. The Seller has delivered this instrument signed by the Seller to enable the Purchaser to file it with any appropriate agency to indicate ownership of the intellectual property described below and for the other purposes set forth in this instrument. This instrument supplements and is in addition to all other rights of the Purchaser under the Agreement and other instruments of transfer delivered in connection with the Agreement. The Seller has adopted and registered the Internet Domain Names listed on the attached Attachment A (the “Domain Names”) with Network Solutions, Inc., Rxxxxxxx.xxx or other registrars throughout the world (each a “Registrar”) on various dates. For good and valuable consideration, receipt of which the Seller acknowledges, and by signing and delivering this instrument, the Seller sells, assigns, transfers, conveys, and delivers to the Purchaser all of the Seller’s right, title and interest in and to the Domain Names and agrees as follows:
Domain Name Assignment. This DOMAIN NAME ASSIGNMENT (this “Assignment”), dated as of [ ], 2009, is made by and among , and the sellers listed on the signature page attached hereto (the “Assignors”), in favor of , a (the “Assignee”).
Domain Name Assignment. Seller shall assign EarthLink its right, title and interest in and to the Domain Name(s) listed on Exhibit A.
