Document Retention and Audit. For seven (7) years after the Expiry Date or any date of termination of the Contract, the Contractor shall maintain all necessary records to substantiate (a) all charges and payments under the Contract and (b) that the Deliverables were provided in accordance with the Contract and with Requirements of Law. During the Contract, and for seven (7) years after the expiry or termination of the Contract, the Contractor shall permit and assist the County in conducting audits of the operations of the Contractor to verify (a) and (b) above. The County shall provide the Contractor with at least ten (10) Business Days prior notice of its requirement for such audit. The Contractor’s obligations under this paragraph shall survive any termination or expiry of the Contract.

During the term of this Master Agreement, and for seven (7) years after the expiration or termination of this Master Agreement, the Supplier shall permit and assist the Coordinating Entity in conducting audits of the operations of the Supplier to verify all charges and payments under all Purchase Agreements. Any such confidentiality agreement shall be subject to the relevant parties’ obligations under MFIPPA or FIPPA and shall exclude information that is generally available to the public without fault or breach by the Purchaser, information of a general nature relating to the RFP or the procurement process, information already in the possession of the Purchaser, information which becomes available to the Purchaser from a third party provided such third party is not breaching any obligation of confidentiality.
