Document Authorization. The Issuer has duly authorized, by all necessary action, the delivery and due performance of the Financing Documents and the Bonds and any and all other agreements and documents as may be required to be executed, delivered or received by the Issuer in order to carry out, give effect to and consummate the transactions contemplated by the Bond Purchase Agreement.

Document Authorization. Notwithstanding anything in this Agreement to the contrary, () the Trustee is hereby authorized and directed to execute and deliver on behalf of the Trust, and the Trust is hereby authorized to perform its obligations under, the Divestment and Common Stock Sale Agreement, the SPA and the other Basic Documents to which the Trust (or the Trustee on behalf of the Trust) is a party, () the Trustee is hereby authorized and directed to execute on behalf of the Trust, and the Trust is hereby authorized to issue, sell and perform its obligations under, the Certificates to be issued on the Closing Date to the Transferor, and () such execution, delivery, performance, issuance and sale does not and shall be deemed not to violate any terms or provisions of this Agreement.
Document Authorization. The terms of this Negotiated Agreement shall remain in full force and effect from year to year until they are superseded by an agreement of the parties or by an order of the Commission of Industrial Relations.
