Disturbance of Libor Market. Notwithstanding any other provision hereof, if at any time prior to the commencement of an Interest Period in respect of any proposed Libor Loan, the Lender determines in good faith (which determination shall be conclusive and binding), that with respect to such Libor Loan:

Disturbance of Libor Market. Notwithstanding any other provision hereof, if any Lender determines in good faith (which determination shall be conclusive and binding) that with respect to a future Libor Loan: Libor will not adequately and fairly reflect the cost to such Lender of funding such Libor Loan for a particular Interest Period, or deposits in U.S. dollars or Euros are not available to such Lender in the London interbank market in sufficient amounts in the ordinary course of business, or by reason of circumstances affecting the London interbank market, adequate and fair means do not exist for ascertaining Libor for a particular Interest Period; then the Agent shall forthwith give notice of such determination and the specific basis therefor to the Borrowers and from and after the date of such notice for so long as such conditions shall continue to exist, the Borrowers shall not have the right to obtain such Libor Loan and any outstanding request for such Libor Loan shall be deemed to be a request for a Base Rate Canada Loan (in the case of such Libor Loan requested by the Canadian Borrower) or a U.S. Base Rate Loan (in the case of such Libor Loan requested by the U.S. Borrower).

  • Suspension of LIBOR Loans Anything herein to the contrary notwithstanding, if, on or prior to the determination of LIBOR for any Interest Period:

  • Maintenance of Listing The Company will use commercially reasonable efforts to effect and maintain the listing of (x) the Units and Warrants on the NYSE (or another national securities exchange) until the consummation of the Business Combination or until such earlier time at which the Liquidation occurs, and (y) the Common Stock on the NYSE (or another national securities exchange) until five years from the date of the consummation of the Business Combination or until such earlier time at which Liquidation occurs.

  • Suspension of LIBOR Rate Loans In the event that, prior to the commencement of any Interest Period relating to any LIBOR Rate Loan, the Agent shall determine that adequate and reasonable methods do not exist for ascertaining LIBOR for such Interest Period, or the Agent shall reasonably determine that LIBOR will not accurately and fairly reflect the cost of the Lenders making or maintaining LIBOR Rate Loans for such Interest Period, the Agent shall forthwith give notice of such determination (which shall be conclusive and binding on the Borrower and the Lenders absent manifest error) to the Borrower and the Lenders. In such event (a) any Loan Request with respect to a LIBOR Rate Loan shall be automatically withdrawn and shall be deemed a request for a Base Rate Loan and (b) each LIBOR Rate Loan will automatically, on the last day of the then current Interest Period applicable thereto, become a Base Rate Loan, and the obligations of the Lenders to make LIBOR Rate Loans shall be suspended until the Agent determines that the circumstances giving rise to such suspension no longer exist, whereupon the Agent shall so notify the Borrower and the Lenders.

  • Marking to Market The initial Collateral received shall have (depending on the nature of the Loaned Securities and the Collateral received) a value of 102% or 105% of the Market Value of the Loaned Securities, or such other value, but not less than 102% of the Market Value of the Loaned Securities, as may be applicable in the jurisdiction in which such Loaned Securities are customarily traded. Pursuant to the terms of the applicable Securities Loan Agreement, State Street shall, in accordance with State Street’s reasonable and customary practices, xxxx Loaned Securities and Collateral to their Market Value each business day based upon the Market Value of the Collateral and the Loaned Securities at the close of business employing the most recently available pricing information and receive and deliver Collateral in order to maintain the value of the Collateral at no less than one hundred percent (100%) of the Market Value of the Loaned Securities.
