Common use of Distributor Clause in Contracts

Distributor. The Distributor represents and warrants that: (a) it is a limited liability company duly organized and in good standing under Delaware law; (b) it is registered as a broker-dealer under federal and applicable state securities laws and is a member in good standing of the NASD; and (c) Xxxxx Fargo Bank, the Trust's investment adviser, is exempt from registration as an investment adviser under all applicable federal and state securities laws and that Xxxxx Fargo Bank will perform its obligations to the Trust in accordance with any applicable state and federal securities laws.

Distributor. The Distributor represents and warrants that: (a) it is a limited liability company duly organized and in good standing under Delaware law; (b) it is registered as a broker-dealer under federal and applicable state securities laws and is a member in good standing of the NASD; and (c) Xxxxx Fargo Bank, the Trust's ’s investment adviser, is exempt from registration as an investment adviser under all applicable federal and state securities laws and that Xxxxx Fargo Bank will perform its obligations to the Trust in accordance with any applicable state and federal securities laws.
