Distributor Contracts. All Contracts with sales representatives, manufacturer’s representatives, distributors, dealers, brokers, sales agencies, advertising agencies or other Persons engaged in sales, distribution or promotional activities to the extent relating to the Business, and all Contracts pursuant to which the Business acts in one of the foregoing specified capacities on behalf of any Person, including the portion of each Shared Contract set forth on Schedule 1.1I under the heading “Shared Distributor Contracts” to the extent relating to the conduct of the Business after the Closing;
Distributor Contracts. Buyer shall have the right to negotiate, solicit, correspond with, negotiate with, and enter into agreements with any Person that is a party to a contract between Seller (or any of its Affiliates) and such Person relating to the Table Games Business, regardless of whether such contract is an Assumed Contract. Upon Buyer’s request (before or after the Closing Date), Seller shall agree (subject to the counterparty’s agreement) to (as requested by Buyer) (x) terminate any contract or part of any contract relating to the Table Games Business, and (y) remit to Buyer any proceeds, payments, fees, or other consideration paid by such Person under any such contract. Seller understands that Buyer’s actions permitted above may interfere with its contractual relationships, and Seller expressly consents and agrees to release Buyer and hold Buyer harmless from and against any Losses that Seller may suffer or incur that may result from Buyer’s negotiations, solicitations, correspondence, and negotiations with such Persons.
Distributor Contracts. (i) All Contracts with sales representatives, manufacturer’s representatives, distributors, dealers, brokers, sales agencies, advertising agencies or other Persons engaged in sales, distribution or promotional activities for or on behalf of such Seller exclusively in connection with the Business and that are terminable by such Seller (or its assignee) upon 60 days notice without penalty to such Seller (or its assignee) or any Contract pursuant to which such Seller acts in one of the foregoing specified capacities on behalf of any Person exclusively in connection with the Business and that is terminable by such Seller (or its assignee) upon 60 days notice without penalty to such Seller (or its assignee), or any Contract set forth on Schedule 2.3(e), and (ii) the portion of each Shared Contract set forth on Schedule 1.1E under the heading “Shared Distributor Contracts” to the extent pertaining to the operation of the Business by Purchaser after the Closing;
Distributor Contracts. Prior to the Principal Closing Date, the --------------------- Selling Entities shall use their best efforts to amend each Distributor Contract to remove therefrom the products and services of the Business and, except with respect to such Distributor Contracts covering a territory or territories outside of the United States identified on Schedule 2.12, to enter into a ------------- separate successor distributor contract (a "Successor Distributor Contract") covering the products and services of the Business on terms reasonably acceptable to USI. For purposes of this Agreement, terms consistent with those contained in the existing Distributor Agreement shall be deemed to be reasonably acceptable to USI. Each Successor Distributor Agreement shall be assignable to USI or another applicable Acquiring Entity effective as of the Principal Closing Date and shall be assigned at the Closing and be an Assumed Contract hereunder (subject to the proviso set forth in the definition of "Assumed Contract" in Section 1.1).
Distributor Contracts. Exhibit 1.1(i) hereto lists all distributor contracts in force as of the date hereof, together with the expiration dates thereof. All of such contracts shall be furnished to Buyer for review prior to the Closing Date.

Distributor Contracts. Distributor Contracts" shall mean any and all Contracts of either of the Sellers whereby such Seller appoints any Person, other than an employee of such Seller, as a distributor, dealer, independent sales representative, independent manufacturer's representative or other authorized reseller or sales agent for such Seller's products.
