Disqualified Equity Interest. Issue or permit to exist any Disqualified Equity Interest.
Disqualified Equity Interest. Equity Interest that, by its terms (or by the terms of any security into which it is convertible or for which it is exchangeable), or upon the happening of any event, (a) matures or is mandatorily redeemable, pursuant to a sinking fund obligation or otherwise, or is redeemable at the option of the holder thereof, in whole or in part, on or prior to the date that is 180 days after the Commitment Termination Date, (b) is convertible into or exchangeable for debt securities, (c) contains any repurchase obligation that may come into effect prior to the Full Payment of the Obligations, (d) requires cash dividend payments (other than taxes) prior to the date that is 180 days after the Commitment Termination Date, (e) provides the holders of such Equity Interest thereof with any rights to receive any cash upon the occurrence of a change of control or sale of assets prior to the date that is 180 days after the date of Fully Payment of the Obligations; provided, however, that (i) with respect to any Equity Interests issued to any employee or to any plan for the benefit of employees of the Parent or its Subsidiaries or by any such plan to such employees, such Equity Interest shall not constitute Disqualified Equity Interests solely because it may be required to be repurchased by the Parent or one of its Subsidiaries in order to satisfy applicable statutory or regulatory obligations or as a result of such employee’s termination, resignation, death or disability and (ii) any class of Equity Interest of such Person that by its terms authorizes such Person to satisfy its obligations thereunder by delivery of an Equity Interest that is not a Disqualified Equity Interest, such Equity Interests shall not be deemed to be Disqualified Equity Interests. Notwithstanding the preceding sentence, any Equity Interest that would constitute Disqualified Stock solely because the holders thereof have the right to require a Loan Party to repurchase such Equity Interest upon the occurrence of a change of control or an asset sale shall not constitute Disqualified Stock Distribution: any declaration or payment of a distribution, interest or dividend on any Equity Interest (other than payment-in-kind); any distribution or advance to a holder of Equity Interests in respect of such Equity Interest; or any purchase, redemption, or other acquisition or retirement for value of any Equity Interest. Disqualified Equity Interest. Equity Interest that, by its terms (or by the terms of any security into which it is convertible or for which it is exchangeable), or upon the happening of any event, (a) matures (excluding any maturity as the result of an optional redemption by the issuer thereof) or is mandatorily redeemable, pursuant to a sinking fund obligation or otherwise, or is redeemable at the option of the holder thereof, in whole or in part, on or prior to the date that is six months after the Revolver Termination Date, (b) is convertible into or exchangeable (unless at the sole option of the issuer thereof) for (i) debt securities or (ii) any Equity Interest referred to in clause (a) above, in each case at any time prior to the date that is six months after the Revolver Termination Date, (c) contains any repurchase obligation that may come into effect prior to Full Payment of all Obligations, (d) requires cash dividend payments (other than taxes) prior to the date that is six months after the Revolver Termination Date, or (e) provides the holders of such Equity Interest thereof with any rights to receive any cash upon the occurrence of a change of control or asset sale prior to the first date that is six months after the Full Payment of the Obligations, unless the rights to receive such cash are contingent upon the Full Payment of the Obligations.
Disqualified Equity Interest. Shall not issue or suffer to exist any Disqualified Equity Interests or be subject to any obligation that requires an Obligor or any Subsidiary to purchase redeem, retire or otherwise acquire for value under any circumstances any Equity Interests issued by an Obligor or such Subsidiary, including any “put” or similar rights

For the avoidance of doubt, with respect to any assignee that becomes a Disqualified Lender at any time after the applicable Trade Date (including as a result of the delivery of a notice pursuant to, and/or the expiration of the notice period referred to in, the definition of “Disqualified Lender”), (x) such assignee shall not retroactively be disqualified from becoming a Lender and (y) for purposes of assignments subsequent to such time, the execution by the Borrower of an Assignment and Assumption with respect to such assignee will not by itself result in such assignee no longer being considered a Disqualified Lender. Any assignment in violation of this clause (l)(i) shall not be void, but the other provisions of this clause (l) shall apply.

  • Equity Interest The stock of or other interests in, or warrants or other rights to purchase the stock of or other interests in, any entity that has borrowed money from the Company or that is a tenant of the Company or that is a parent or controlling Person of any such borrower or tenant.
