DISCONTINUANCE OF PRODUCT. 12.1 [***] Buy Rights. In consideration of HP’s purchase of any Product or Spares hereunder, Supplier grants to HP the option to purchase Products and Spares [***] for a period of [***], [***]. If thereafter Supplier determines to discontinue the manufacture, supply of said Product (a “Discontinued Product”), Supplier will give written notice to HP in no event less than [***] in advance of the last date the Discontinued Product can be ordered (the “Notice Period”). After receipt of notice of discontinuance, during the Notice Period, HP may at its discretion:
DISCONTINUANCE OF PRODUCT. If the relationship of the Company with any underwriting company or principal terminates for any reason, the Company will have no obligation to the Producer concerning any policy not issued prior to such termination, irrespective of any notice.
DISCONTINUANCE OF PRODUCT. If EMC discontinues the production of any Product for sale to its customers, then EMC may remove such Product from Exhibit A and/or A-1 upon one hundred and twenty (120) days' written notice to Reseller. During such notice period, Reseller may continue to place orders for such discontinued Product, provided that the delivery dates requested by Reseller are within sixty (60) days of the effective date of EMC's written notice of discontinuance. In the event of discontinuation of Products, Reseller may revise its Forecast accordingly. EMC shall support Products for a minimum of five (5) years from the date of the last shipment of such discontinued Product to Reseller.
DISCONTINUANCE OF PRODUCT. Supplier must provide a minimum of six month's written notice prior to discontinuance of Equipment or Software.
DISCONTINUANCE OF PRODUCT. Seller shall provide Buyer at least twelve (12) months written notice that any Product covered by this Agreement is to be manufactured discontinued. Buyer may place Orders for such Product at the prices set forth in this Agreement during this twelve (12) month period and Seller shall fill such Orders even if such twelve (12) month period extends beyond the term of this Agreement. Delivery schedules for this Product shall be negotiated by the parties at time of Order placement, but delivery will not extend beyond eighteen (18) months from date of notice of discontinuance unless Seller agrees otherwise. Notwithstanding the foregoing, to the extent that an alternative product meeting Buyer's functional and cost requirements is reasonably available and can be qualified within six (6) months, as determined by Buyer, then notice of discontinuation may be reduced to six (6) months. Any Product for which a notice of discontinuation has been received by Buyer, shall be considered a Custom Product solely for purposes of Section 13, Cancellation and Rescheduling, effective as of receipt of such notice. Seller recognizes that continuity of supply of Custom Product is a critical concern of Buyer. Therefore, in the event Seller elects to discontinue supplying Custom Product, the parties agree to consider in good faith reasonable alternatives that may be available in addressing Buyer's concerns. In no event will this provision be construed as requiring the broadening of the scope of any licenses of intellectual property entered into between the parties by separate written agreement as of the Effective Date.
DISCONTINUANCE OF PRODUCT. In case NCD intends to discontinue the supply of certain Products during the term of this Agreement, NCD shall endeavor to give Hitachi 180 days prior written notice, in any case NCD shall give written notice of at least NINETY (90) DAYS ("Last Buy Notice") prior to the intended date of discontinuance. Hitachi may, at least THIRTY (30) DAYS prior to the intended date of discontinuance informed by Last Buy Notice, place a non-cancelable Order ("Last Buy Order") to cover its future requirements, and NCD shall accept such Last Buy Order. The quantity and delivery schedule of the Products ordered by such Last Buy Order shall be mutually agreed between the parties. In no event will the quantity of the Last Buy Order exceed the total of Hitachi 's last twelve (12) months of purchases of Product.
