Disclosure of Third Person Information. Each Party acknowledges that it and other members of its Group may have in its or their possession confidential or proprietary information of third Persons that was received under a confidentiality or non-disclosure agreement between such third Person and the other Party. Each Party will, and will cause its respective Group members and its Representatives to, hold in strict confidence the confidential and proprietary information of third Persons to which any member of such Party’s Group has access, in accordance with the terms of any agreements entered into between such third Person and the other Party or a member of the other Party’s Group.
Disclosure of Third Person Information. Freescale acknowledges that it and other members of the Freescale Group may have in its or their possession confidential or proprietary Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while part of Motorola. Freescale will, and Freescale will cause its respective Group members and its Representatives to, hold in strict confidence the confidential and proprietary Information of third Persons to which any member of the Freescale Group has access, in accordance with the terms of any agreements entered into prior to the Effective Date between members of the Motorola Group (whether acting through, on behalf of, or in connection with, the SPS Business) and such third Persons.
Disclosure of Third Person Information. WhiteWave acknowledges that it and other WhiteWave Group Members may have in its or their possession confidential or proprietary Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while part of Xxxx Foods. WhiteWave shall, and WhiteWave shall cause its respective Group Members and its and their respective Representatives to, hold in strict confidence the confidential and proprietary Information of third Persons to which any WhiteWave Group Member has access, in accordance with the terms of any agreements entered into prior to the Contribution Closing between Xxxx Foods Group Members (whether acting through, on behalf of, or in connection with, the WhiteWave Business) and such third Persons.
Disclosure of Third Person Information. SpinCo acknowledges that it may have in its possession confidential or proprietary Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while it was an Affiliate of Manitowoc ParentCo. SpinCo will hold in strict confidence the confidential and proprietary Information of third Persons to which SpinCo has access, in accordance with the terms of any agreements entered into prior to the Effective Date between Manitowoc ParentCo (whether acting through, on behalf of, or in connection with, the Foodservice Business) and such third Persons. Manitowoc ParentCo will comply with the terms of any confidentiality or non-disclosure agreement with third Persons, notwithstanding that such agreements may have been assigned to SpinCo. SpinCo further acknowledges that Manitowoc ParentCo is or may be the subject to a variety of Actions, court orders or agreements covering confidentiality or non-disclosure of certain matters, and SpinCo will continue to be bound by such orders and agreements where otherwise applicable.
Disclosure of Third Person Information. Verigy acknowledges that it and other members of the Verigy Group may have in its or their possession confidential or proprietary Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while part of Agilent. Verigy will cause each of its employees and contractors to enter into customary non-disclosure agreements in a form acceptable to Agilent and shall enforce such agreements in accordance with their terms.
Disclosure of Third Person Information. Cyclone and WHE GEN acknowledge that they and other members of the Cyclone Group or the WHE GEN Group, as the case may be, may have in their possession Confidential Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while they were Affiliates. Cyclone and WHE GEN shall, and shall cause each of their respective Group members and their Representatives to, hold in strict confidence the Confidential Information of third Persons to which any member of the Cyclone Group or WHE GEN Group has access, in accordance with the terms of any such agreements.

R&DCo acknowledges that it and other R&DCo Group Members may have in its or their possession confidential or proprietary Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while part of Ikaria. R&DCo shall, and R&DCo shall cause its respective Group Members and use its reasonable best efforts to cause its and their respective Representatives to, hold in confidence the confidential and proprietary Information of third Persons to which any R&DCo Group Member has access, in accordance with the terms of any agreements entered into prior to the Distribution between Ikaria Group Members (whether acting through, on behalf of, or in connection with, the R&DCo Business) and such third Persons.

SpinCo acknowledges that it and other SpinCo Group Members may have in its or their possession confidential or proprietary Information of third Persons that was received under confidentiality or non-disclosure agreements with such third Persons while part of Viamet. SpinCo shall, and SpinCo shall cause its respective Group Members and use its reasonable best efforts to cause its and their respective Representatives to, hold in confidence the confidential and proprietary Information of third Persons to which any SpinCo Group Member has access, in accordance with the terms of any agreements entered into prior to the Distribution between Viamet Group Members (whether acting through, on behalf of, or in connection with, the SpinCo Business) and such third Persons.

SGI and A-Mark xxxnowledge that they and other members of the SGI Group or the A-Mark Xxxup, as the case may be, may have in their possession Confidential Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while they were Affiliates. SGI and A-Mark xxxll, and shall cause each of their respective Group members and their Representatives to, hold in strict confidence the Confidential Information of third Persons to which any member of the SGI Group or A-Mark Xxxup has access, in accordance with the terms of any such agreements.
Disclosure of Third Person Information. GasCo acknowledges that it may have in its possession Information of third Persons that was received under confidentiality or non-disclosure agreement with such third Person while part of CONSOL Energy.
