Neither this Agreement, nor the financial statements (including the footnotes thereto), any Schedule, any exhibit, document or certificate delivered by or on behalf of any Principal Shareholder or the Company pursuant hereto contains any untrue statement of a material fact, or omits to state a material fact necessary to make the statements herein or therein not misleading. There is no fact which has a Material Adverse Effect on the Company or its business which has not been specifically disclosed herein or on a Schedule hereto.

Neither this Agreement, Agreement nor the financial statements (including the footnotes thereto), any Schedule, any exhibit, document or certificate delivered by or on behalf of any Principal Shareholder or the Company Buyer pursuant hereto contains any untrue statement of a material fact, or omits to state a material fact necessary to make the statements herein or therein not misleading. There is no fact which has a Material Adverse Effect on the Company or its business which has not been specifically disclosed herein or on a Schedule hereto.

There is no fact which has a Material Adverse Effect on materially adversely affects the Company business, condition (financial or otherwise) or prospects of Seller and its business Subsidiaries which has not been specifically disclosed set forth herein or on in a Schedule hereto.

There is no fact misleading in light of circumstances under which has a Material Adverse Effect on the Company or its business which has not been specifically disclosed herein or on a Schedule heretomade.
