Disbursements and Other Actions by Escrow Holder. Upon the Close of Escrow, Escrow Holder shall promptly undertake all of the following in the manner indicated:

Upon the Closing, Escrow Holder shall (A) direct the Title Company to issue the Owner’s Policy to Buyer, (B) record the Memorandum in the Office of the County Recorder, (C) disburse the Purchase Price, after adjustment pursuant to the terms of this Agreement for expenses and prorations and less the amount of the Building Materials Holdback and the Closure Holdback (as defined below), to Seller, and deliver the balance of the funds, if any, to Buyer, and (D) disburse to Buyer and Seller an original executed counterpart of Stanford’s Consent, Xxxx of Sale, Assignment and Assumption, Ground Lease Assignment, Memorandum, and any other documents (or copies thereof) deposited into Escrow by Buyer or Seller pursuant hereto.

By executing this Agreement where indicated below, Escrow Holder hereby agrees that (i) this Agreement shall constitute the instructions of the parties to Escrow Holder, which Escrow Holder accepts and agrees to perform, (ii) the instructions contained in this Agreement, and Escrow Holder’s agreement to complete the same, are irrevocable and may not be modified except in accordance with a writing signed by both Buyer and Seller, and (iii) at the Close of Escrow, Escrow Holder will promptly perform those duties set forth in Section 4.4.

Upon the Closing, Escrow Holder promptly shall undertake all of the following: (a) disburse all funds deposited with Escrow Holder by Buyer in payment of the Purchase Price (less the Independent Consideration previously disbursed to Seller and the agreed-upon consideration for conveyance of the Parking Easement), (b) pay Buyer’s portion of the escrow and title fees and charges and closing costs, (c) deduct all items chargeable to the account of Seller under Section 8, (d) pay the amounts owing to the persons entitled to payment, and disburse the remaining balance of the funds to Seller, or in accordance with Seller’s written instructions, promptly upon the Close of Escrow; (e) cause the Grant Deed, Parking Easement, Subordination Agreement, the Memorandum of Agreement, and any other documents which Buyer or the Parties may direct to be recorded in the Official Records of the Orange County Recorder in the order directed by the Parties; (f) prepare and deliver to each of Buyer and Seller two conformed copies of the Grant Deed and Parking Easement; (g) cause the Title Company to issue the Buyer’s Title Policy to Buyer; (h) deliver two executed copies of the Blanket Assignment and Xxxx of Sale for the Property to each of Buyer and Seller; (i) deliver to Buyer the proof of authority deposited into Escrow by Seller pursuant to Section 9.1; (j) deliver to Buyer the certifications deposited into Escrow by Seller pursuant to Section 9.1; and (k) deliver to Seller any proof of authority deposited into Escrow by Buyer pursuant to Section 9.2.
