Common use of Disaster Recovery and Business Continuity Clause in Contracts

Disaster Recovery and Business Continuity. Transfer Agent will maintain a comprehensive disaster recovery and business continuity plan and will provide an executive summary of such plan upon reasonable request of the Fund. Transfer Agent will test the adequacy of its disaster recovery and business continuity plan at least annually. Upon reasonable request by the Fund, Transfer Agent will provide the Fund with a letter assessing the most recent disaster recovery and business continuity test results. In the event of a business disruption that materially impacts Transfer Agent’s provision of services under this Agreement, Transfer Agent will promptly notify the Fund of the disruption and the steps being implemented under the disaster recovery and business continuity plan.

Disaster Recovery and Business Continuity. The Transfer Agent will shall implement and maintain a comprehensive disaster recovery and business continuity plan procedures that are reasonably designed to recover data processing systems, data communications facilities, information, data and will provide an executive summary of such plan upon reasonable request other business related functions of the FundTransfer Agent in a manner and time frame consistent with legal, regulatory and business requirements applicable to the Transfer Agent in its provision of services hereunder. The Transfer Agent will test implement such procedures following the adequacy occurrence of its disaster recovery and business continuity plan at least annually. Upon reasonable request an event which results in an interruption or suspension of the Services to be provided by the Fund, Transfer Agent will provide the Fund with a letter assessing the most recent disaster recovery and business continuity test results. In the event of a business disruption that materially impacts Transfer Agent’s provision of services under this Agreement, Transfer Agent will promptly notify the Fund of the disruption and the steps being implemented under the disaster recovery and business continuity plan..
