Common use of Disability or Death Clause in Contracts

Disability or Death. (i) The Employment Term and Executive's employment hereunder shall terminate upon Executive's death and may be terminated by the Company if Executive becomes physically or mentally incapacitated and is therefore unable for a period of six (6) consecutive months or for an aggregate of nine (9) months in any twenty-four (24) consecutive month period to perform Executive's duties (such incapacity is hereinafter referred to as "Disability").

Disability or Death. (i) The Employment Term and Executive's ’s employment hereunder shall terminate upon Executive's ’s death and may be terminated by the Company if Executive becomes physically or mentally incapacitated and is therefore unable for a period of six (6) consecutive months or for an aggregate of nine (9) months in any twenty-four (24) consecutive month period to perform Executive's ’s duties (such incapacity is hereinafter referred to as "“Disability"”).

(i) The Employment Term and Executive's ’s employment hereunder shall terminate automatically upon Executive's ’s death and may be terminated by the Company upon Executive’s Disability. For purposes of this Agreement, a “Disability” shall be deemed to have occurred if Executive becomes physically or mentally incapacitated and is therefore unable has for a period of six one hundred twenty (6120) consecutive months days or for an aggregate of nine one hundred eighty (9180) months non-consecutive days in any twenty-four twelve (2412) consecutive month period been disabled in a manner which has rendered Executive unable to perform the essential functions of Executive's ’s job duties (such incapacity is hereinafter referred to as "Disability")with or without reasonable accommodation.

(i) The Employment Term and Executive's employment hereunder shall terminate automatically upon Executive's death and may be terminated by or, at the Company option of the Company, if Executive becomes physically or mentally incapacitated and is therefore unable for a period of six forty five (645) consecutive months days or for an aggregate of nine seventy five (975) months days in any twenty-four six (246) month consecutive month period to effectively perform Executive's duties (such incapacity is hereinafter referred to as "Disability").
