Parent shall cause its Board of Directors to take such action as may be necessary to increase the size of Parent's Board of Directors from ten (10) to thirteen (13) members and shall cause to be appointed to the Board of Directors of Parent Robexx X. Xxxxx xxx Georxx X. Xxxxx, Xx., xxfective immediately following the Effective Date. At the next annual meeting of Parent Shareholders thereafter, the Board of Directors of Parent shall cause to be nominated (i) Georxx X. Xxxxx, Xx. xxx election as a Class III Director with a term of office expiring in 2000, and (ii) Robexx X. Xxxxx xxx election as a Class I Director with a term of office expiring in 2001.
