Determining the Number of Additional Shares. The number of Additional Shares, if any, by which the Conversion Rate will be increased for a Holder that converts its Notes in connection with a Make-Whole Fundamental Change shall be determined by reference to the table attached as Schedule A, based on the date on which the Make-Whole Fundamental Change occurs or becomes effective (the “Effective Date”), and the price (the “Stock Price”) paid (or deemed paid) per share of the Common Stock in the Make-Whole Fundamental Change, as determined under the two immediately following sentences. If the holders of the Common Stock receive only cash in a Make-Whole Fundamental Change described in clause (2) of the definition of “Fundamental Change,” the Stock Price shall be the cash amount paid per share of Common Stock. The Issuer’s Board of Directors will make appropriate adjustments, in its good faith determination, to account for any adjustment to the Conversion Rate that becomes effective, or any event requiring an adjustment to the Conversion Rate where the Ex-Date of the event occurs, at any time during those five consecutive Trading Days.

Notwithstanding the foregoing, in the event that a conversion of Notes may be deemed to be “in connection with” both a Make-Whole Fundamental Change pursuant to clause (A) of the definition thereof and a Make-Whole Fundamental Change pursuant to clause (B) of the definition thereof, such conversion will be deemed only to be “in connection with” a Make-Whole Fundamental Change pursuant to clause (A) of the definition thereof, and the Make-Whole Fundamental Change Effective Date, Share Price and number of Additional Shares by which the Conversion Rate will be increased will be determined by reference to a Make-Whole Change pursuant to clause (A) of the definition thereof.

For the avoidance of doubt, if the Company elects to redeem less than all of the Outstanding Notes, then Holders of the Notes not called for redemption will not be entitled to an increased Conversion Rate for such Notes as described in this Section 4.06 on account of such redemption, except to the limited extent described in Section 11.07.
