Determining Company Performance. Following the end of the Performance Period, the Company’s performance with respect to the Performance Goal shall be compared to that of the Peer Group. The Company’s percentile rank with respect to the Performance Goal shall be equal to the result of dividing (a) by (b), where (a) is the number corresponding to the Company’s numerical rank in the group consisting of the Company and the Peer Group (e.g., if the Company ranks seventh with respect to the Performance Goal for the Performance Period then the number for this purpose would be 7), and (b) is the number equal to the number of companies in the Peer Group for the Performance Period plus one (e.g., if there are 16 companies in the Peer Group for the Performance Period then the number for this purpose would be 17).

Determining Company Performance. Following the end of each calendar year commencing with 2011, the Company’s performance with respect to the Performance Goal shall be compared to that of the Peer Group by the Committee. The Company’s percentile rank with respect to each of RRG and TSR shall be arrived at by subtracting from 100 the product of dividing (a) by (b) multiplied by 100, where (a) is the number corresponding to the Company’s numerical rank in the group consisting of the Company and the Peer Group minus one (1), and (b) is the number equal to the number of companies in the Peer Group for the Performance Period.

Related to Determining Company Performance

  • Timely Performance Time is of the essence as to the performance of the obligations required of the respective parties under this Agreement.

  • Assist Performance Seller shall exercise its reasonable best efforts to cause to be fulfilled those conditions precedent to Buyer’s obligations to consummate the transactions contemplated hereby which are dependent upon the actions of Seller and to work with Buyer to make and/or obtain any necessary filings and consents. Seller shall cause Split-Off Subsidiary to comply with its obligations under this Agreement.

  • Seller’s Performance (a) All of the covenants and obligations that Sellers are required to perform or to comply with pursuant to this Agreement at or prior to the Closing (considered collectively), and each of these covenants and obligations (considered individually), must have been duly performed and complied with in all material respects.

  • Historical Performance Information To the extent agreed upon by the parties, the Sub-Advisor will provide the Trust with historical performance information on similarly managed investment companies or for other accounts to be included in the Prospectus or for any other uses permitted by applicable law.

  • Excused Performance If either Party is rendered wholly or partially unable to perform its obligations (other than payment obligations) under this Agreement due to the occurrence of a Force Majeure Event, such Party will be excused from the affected performance obligation (other than payment obligations), provided that:

  • Non-Performance No failure or delay in performance, whether in whole or in part, by either Gatherer or Shipper shall be deemed to be a breach hereof (other than the obligation to pay amounts when due under this Agreement) when such failure or delay is occasioned by or due to a Force Majeure Event.

  • Annual Performance Bonus In the discretion of the Company's Compensation Committee, the Executive shall be eligible to receive an annual performance bonus payable in cash for each full or partial fiscal year of the Company during the Employment Period in accordance with the Company's performance-based bonus program for Executive Officers.

  • Buyer’s Performance (a) All of the covenants and obligations that Buyer is required to perform or to comply with pursuant to this Agreement at or prior to the Closing (considered collectively), and each of these covenants and obligations (considered individually), must have been performed and complied with in all material respects.

  • Performance and Salary Review Company will periodically review Executive’s performance on no less than an annual basis. Adjustments to salary or other compensation, if any, will be made by Company in its sole and absolute discretion.

  • Performance Excused Continued performance of a Service may be suspended immediately to the extent caused by any event or condition beyond the reasonable control of the Party suspending such performance including, but not limited to, any act of God, fire, labor or trade disturbance, war, civil commotion, compliance in good faith with any law, unavailability of materials or other event or condition whether similar or dissimilar to the foregoing (each, a “Force Majeure Event”).
