Common use of Determination of Consideration Clause in Contracts

Determination of Consideration. For purposes of Sections 4.2, 4.3, 4.4, 4.6 and 4.8 hereof, as applicable, the consideration received and/or receivable by the Company in connection with the issuance, sale, grant or exercise of additional shares of Common Stock, Stock Purchase Rights or Convertible Securities, irrespective of the accounting treatment of such consideration, shall be valued as follows:

Determination of Consideration. For purposes of Sections 4.2, 4.3, 4.4, 4.6 and 4.8 Section 6.2 hereof, as applicable, the consideration received and/or receivable by the Company in connection with the issuance, sale, grant or exercise of additional shares of Common Stock, Stock Purchase Rights or Convertible Securities, irrespective of the accounting treatment of such consideration, shall be valued as follows:

For purposes of Sections 4.26.1, 4.36.2, 4.4, 4.6 6.3 and 4.8 6.5 hereof, as applicable, the consideration received and/or receivable by the Company in connection with the issuance, sale, grant or exercise of additional shares of Common Stock, Stock Purchase Rights or Convertible Securities, irrespective of the accounting treatment of such consideration, shall be valued as follows:
