Designation of Forum. Any party bringing a legal action or proceeding against any other part arising out of or relating to this Agreement may bring the legal action or proceeding in the United States District Court for the Middle District of Florida, Tampa Division or in any court of the State of Florida sitting in Tampa.
Designation of Forum. Any party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement shall bring the legal action or proceeding in the Circuit Court of the State of Oregon for Xxxxxx County. Each party hereby consents to the exclusive jurisdiction of such court, waives any objection to venue, and waives any claim that such forum is an inconvenient forum.

Any party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement may bring the legal action or proceeding in the United States District Court for the District of Nevada or in any court of the state of Nevada sitting in Xxxxx County.

Any Party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement may bring the legal action or proceeding in the United States District Court for the Southern District of Mississippi or in any court of the State of Mississippi sitting in Madison County, Mississippi.
Designation of Forum. Any party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement may bring the legal action or proceeding in any court of the State of Wisconsin sitting in Xxxxx County, Wisconsin.
Designation of Forum. Except as provided in Section 3.3(c)(v), and subject to its compliance with the provisions of Section 4.15, any party to this Agreement bringing a legal action or proceeding against any other party arising out of or relating to this Agreement or the transactions contemplated hereby shall bring the legal action or proceeding exclusively in the courts of the State of New York sitting in the City of New York, Borough of Manhattan and if it has or can acquire jurisdiction, the United States District Court for the Southern District of New York located in New York, New York (the “Designated Courts”). Each party consents to the exclusive personal jurisdiction of the Designated Courts for the purpose of all legal actions and proceedings arising out of or relating to this Agreement or the transactions contemplated hereby other than disputes with respect to Put Prices, which shall be governed by, and resolved in accordance with the terms of, Section 3.3(c)(v). Each party agrees that the exclusive choice of forum set forth in this Section does not prohibit the enforcement of any judgment obtained in the Designated Courts or any other appropriate forum.
