Designation of Authorized Representative. The Partnership has designated Xxxxxx X. Xxxxxx, Operating General Partner, 0000 Xxxxxxx Xxxxx, Las Vegas, NV 89102, telephone number (000) 000-0000, as its official representative for all matters concerning the Project which require HUD consent or approval. The signature of this person will bind the Partnership in all such matters. The Partnership may from time to time appoint a new representative to perform this function, but within 3 business days of doing so, will provide HUD with written notification of the name, address, and telephone number of its new representative. When a person other than the person identified above has full or partial authority of management of the Project, the Partnership will promptly provide HUD with the name of that person and the nature of that person’s management authority.

Designation of Authorized Representative. In connection with the services provided by JS&A, the parties may agree to enter into certain hedging or other futures agreements and transactions from time to time. All such transactions shall be executed upon specific approval and direction by a client representative. Cardinal Ethanol will designate, by resolution, those persons who will have authority to make risk management decisions on behalf of Cardinal Ethanol when dealing with JS&A.
Designation of Authorized Representative. Each Party will designate by written notice to the other an Authorized Representative who is authorized to act on its behalf with respect to those matters contained herein which are properly the functions and responsibilities of the Authorized Representatives. The Company agrees that its issuance of the Note and the Warrant constitutes full authority to its officers, agents and transfer agents who are charged with the duty of executing and issuing shares to execute and issue the necessary shares of common stock upon the conversion of the Note and the exercise of the Warrant. No further approval or authority of the stockholders or the Board of Directors of the Company will be required for the issuance and sale of the Securities to be sold by the Company as contemplated by the Agreement or for the issuance of the shares contemplated by the Note or the shares contemplated by the Warrant.

  • Delegation of Authority The General Partner may delegate any or all of its powers, rights and obligations hereunder, and may appoint, employ, contract or otherwise deal with any Person for the transaction of the business of the Partnership, which Person may, under supervision of the General Partner, perform any acts or services for the Partnership as the General Partner may approve.
