Design Database. The Contractor shall establish and maintain or procure that the Construction Sub- Contractor establishes and maintains a computerised design database which the Contractor’s Representative and the Authority’s Representative may access remotely by computer to view drawings comprised within the Design Data (including Reviewable Design Data) and electronically store and/or print copies of such Design Data. If the Authority’s Representative is unable to access that design database and notifies the Contractor of the same, the Contractor shall procure that the database is made available as soon as reasonably practicable for inspection by the Authority’s Representative or any person authorised by the Authority’s Representative.

Such amendment and rectification shall have the effect that: the Construction Proposals shall satisfy the Facilities Output Specification; and following the amendment or rectification the structural, mechanical and electrical performance of the Sites will be of an equivalent standard of performance to that set out in the Construction Proposals prior to their amendment or rectification (for the purpose of comparison disregarding the fault which required the amendment or rectification to be made). CHANGES TO THE CONSTRUCTION PROPOSALS AND THE CONSTRUCTION PROGRAMME Proposal to Vary Construction Proposals or the Construction Programme Without prejudice to clause 14.7 (Rectification of Construction Proposals), the Contractor shall be entitled to propose variations to the Construction Proposals by submitting the relevant variation to the Authority for review under the Review Procedure. Design Database. 10.1 The Authority shall use all reasonable endeavours to procure for the Academy access to any design database referred to under Sub-Clause 6.6 of the D&B Contract which is referable to the subject matter of the D&B Contract and in respect of which electronic access is available remotely. The Academy undertakes to use such rights of access on a basis that enables the Authority to fully comply with its obligations under the D&B Contract regarding restrictions concerning the use of the database.

Through January 31, 0000, Xxxxx Xxxxxxx is entitled to use, and shall pay $10,000 (in United States dollars) per month to ONKYO CORPORATION for use of, the design database of ONKYO CORPORATION's IC Division while Onkyo America develops its own database, but in no event may Onkyo America use such design database after January 31, 2001. Upon completion of Onkyo America's database, Onkyo America shall give notice to ONKYO CORPORATION of the date it shall cease to use the design database of ONKYO CORPORATION's IC Division. Onkyo America shall cease using, and paying for use of, such design database as of the date provided in Onkyo America's notice. For this final payment, if the date of notice falls prior to the last day of the month, Onkyo America shall pay a proportion, based on the number of days within the month, for its final payment.
