Design and Development. You must design and develop your Critical Systems and all payment-related processes so that they are secure from intrusion and interference by unauthorised persons. All users of your systems must be required to authenticate themselves to your Critical Systems, and those Systems must limit the access and powers of their users. You must also organise your business so as to segregate critical duties and create controls and checkpoints in your operations, rather than place too much unchecked power over your systems and operations in one person. Never give a user more power over your systems and processes than the minimum necessary for the user to perform his or her assigned role.

Design and Development. (a) Innofone shall design and develop the Custom Site in accordance with the Requirements and in accordance with the following general principles:
Design and Development. Licensee, at its own expense, will continue to design and develop the XXX.xxx Site in accordance with this Agreement. Except for the Licensed Property, Non-Shopping Features and TSA Content to be provided by Licensor hereunder, Licensee shall provide all content, creative, design, programming and related services necessary to the design, development, operation and updating of the XXX.xxx Site, including incorporating the functionality and features provided for herein. Licensee shall update the content, offers, promotions and Look and Feel characteristics of the XXX.xxx Site as is reasonably necessary for the Site to compare favorably with [*]. The XXX.xxx Site will continue to contain at a minimum the functionality and features currently existing on the XXX.xxx Site and as set forth on Exhibit G attached --------- hereto and such other functionality and features as may be agreed upon by the Parties. The XXX.xxx Site will be comprised of a series of templates developed by Licensee that will define the format and layout of a page on the XXX.xxx Site and establish the placement and size of content type blocks (e.g. text, graphics, promotions, advertising, navigation bar and images). Such templates shall be developed to correspond closely with the merchandise category and department structure in the TSA Stores. The Look and Feel characteristics of the XXX.xxx Site will continue to be consistent with the TSA Stores and the Marks, or as otherwise mutually upon by the Parties. Licensor will provide Licensee with the Non-Shopping Features information, TSA Content and Licensed Property necessary for the operation of the XXX.xxx Site and provision of the Services in connection therewith. Licensor will provide such Non-Shopping Features information, TSA Content and Licensed Property in such format as may be agreed upon by the Parties. In the event of a change in the Marks of Licensor, Licensee agrees that it shall update the XXX.xxx Site in a timely manner after Licensor provides Licensee with such updated Marks. Notwithstanding anything herein to the contrary, it shall be Licensee's sole responsibility to produce and maintain all camera-ready product information and images for use on the XXX.xxx Site. For purposes of this Agreement, such product information and images shall be deemed GSI Content. Notwithstanding the foregoing, Licensee shall, after giving reasonable advance notice, be permitted to reasonably use merchandise in the TSA Stores to prepare product image...

Design and Development. The Parties shall use good faith efforts to design and develop their respective components of the Corporate Offering by the applicable Target Dates. Customer acknowledges that the geographic availability of the Corporate Offering may be limited by the Connectivity Vendor. The Parties shall cooperate to plan and coordinate geographic roll-out.

Design and Development. 5.1 Where the Client's project includes design work, this will be prepared based on the Client's reasonable instructions within the defined confines of the project time and budget. This will then be presented to the Client for approval. All design work must be signed off by the Client prior to being further developed into a website by the Company.
Design and Development. Supplier shall use a multi-disciplinary process to validate, while required and/or applicable, all design specifications and shall document conformance with all specifications. All special characteristics must be monitored and complied. All product/process documentation including FMEAs and control plans are to be up to date including action plans to minimize or eliminate potential risks. For the development of a product with embedded software, Supplier shall implement and maintain a process for software quality, utilize a software development assessment process (e.g., ASPICE or CMMI) and retain its outputs.

The Company will provide, and will cause Kmart and their Affiliates to provide, GSI with the Company Content necessary for the operation of the Company Site in such format as may be agreed upon by the Parties. Unless and until GSI provides the Company with the technology to update the Non-Shopping Features directly, GSI will program, upload, display and maintain the Non-Shopping Features and will promptly update the Non-Shopping Features as may be reasonably requested by the Company from time to time. Upon providing the Company with such technology, the Company will be responsible for updating the Non-Shopping Features content and GSI will provide initial training and/or instructions on the use of the technology and will thereafter provide such assistance that may be reasonably requested by the Company with respect to the use of such technology.
