Design and Construction of Improvements. The Developer shall design, engineer and construct, at its own expense, the improvements to the Facility as set forth in Exhibit B which are the improvements related to the QT Project (“QT Improvements”). The design, engineering and construction of the QT Improvements shall be in accordance with the Preliminary and Final Development Plans approved by the Board of Xxxxxxxx and the storm drainage plans approved by the City’s Director of Public Works. The QT Improvements are making the necessary outlet pipe modifications as identified as Bid Item Nos. 7-10

Design and Construction of Improvements. The Developer shall cause the Pump Station to be designed, constructed and installed, according to all applicable federal, state, and local laws and regulations, and subject to approval by the Authority. Upon completion of construction and installation of the Pump Station, the Developer shall dedicate the Pump Station to the Authority.

Design and Construction of Improvements. The CITY shall, at its sole cost and expense, invest an amount which approximates but does not exceed ten million dollars ($10,000,000) in improvements to the PROPERTY, including the construction of new multisport fields on the UNDEVELOPED PORTION of the PROPERTY with at least one (1) artifical turf field, the placement of permanent lighting throughout the PROPERTY, construction of permanent restroom facilities for the PROPERTY, and construction of a maintenance building which services the PROPERTY, subject to the availability in the project budget. In no case shall lighting engineering, purchasing, and installation take priority over the number of fields constructed. The portion of the project budget spent on field lighting installation shall be capped at eighteen percent (18%). In the event the project budget does not allow for field lighting on all fields, the lighting expenditures will be divided equally between the DEVELOPED PORTION of the PROPERTY and the UNDEVELOPED PORTION. Subject to the availability of funds, the City will construct paved access roads and paved parking on the PROPERTY. The above work shall be designed, improved, permitted, and construction substantially completed within two (2) years of the execution of this Agreement. The CITY will endeavor to stage the work so as to avoid, to the extent reasonably possible, interference with MANAGER’s use of the DEVELOPED PORTION of the PROPERTY. MANAGER shall be allowed input on the design of the improvements; however, the CITY reserves decision authority on the design.

  • Completion of Improvements Within 90 days of completion of any construction herein permitted, Company will cause to be prepared and delivered to Authority record documents as required under the Tenant Work Permit process, including but not limited to as-builts, legal descriptions, boundary surveys, and certified final cost of construction. The submission of record document electronic media will be in accordance with Authority’s Standard Procedure for computer aided design and drafting and drawings, as may be revised from time to time.

  • Condition of Improvements The risk of destruction or substantial damage by fire or Act of God prior to delivery of deed is assumed by Seller. Xxxxxx agrees that on possession, the Real Estate shall be in the same condition as it is on the date of this contract, except for ordinary wear and tear. If the Real Estate should be damaged or destroyed by fire or other casualty and if, prior to Closing, the real Estate shall not be repaired or restored by and at the Sellers expense, to a condition as good as it was prior to the damage or destruction, then Purchaser, at his option, may terminate this contract by written notice to Seller and the Down Payment Shall be returned to Purchaser. While this contract is pending, Sellers shall not change any existing lease or enter into any new lease, nor make any substantial alterations or repairs without the consent of the Purchaser.   • Specific Shall Not Limit General; Construction No specific provision contained in this Note shall limit or modify any more general provision contained herein.   • Initial Construction Attached hereto are plans showing proposed modifications to Premises. Within 20 days of execution of the Lease, Landlord will prepare construction drawings and specifications for such modifications containing such details as dimensions, partition plans, dimensioned electrical and telephone outlet plans, modified reflected ceiling plans, room finish schedule, including wall, carpet, floor tile, and VCT colors, and other necessary construction details and specifications for the completion of such work, all in a manner reasonably acceptable to Tenant. In addition, in Tenant's construction contract, Tenant shall insure that the contract holds Landlord and The Gutixxxxx Xxxpany harmless, and that Landlord and The Gutixxxxx Xxxpany are additional named insureds on all of Tenant's insurance policies. It shall be Tenant's contractor's responsibility to obtain the building permit for said modifications to Premises. It shall be Tenant's responsibility to insure that all Tenant's general contractors subcontractors and materialmen are paid in full, and if a lien is placed upon the Building by any such contractor, subcontractor, materialmen, or other, to promptly remove such lien or provide a bond reasonably satisfactory to Landlord and Landlord's mortgagee to insure that such lien will be paid in full while contesting such lien. Landlord shall permit Tenant and Tenant's contractor access for construction of modifications to Tenant's premises promptly after execution hereof. All changes and additions shall be part of the Building, except such items as by writing at the time of approval the parties agree either shall be removed by Tenant on termination of this Lease, or shall be removed or left at Tenant's election.

A COMPLETE VERSION OF THIS EXHIBIT HAS BEEN FILED SEPARATELY WITH THE SECRETARY OF THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO AN APPLICATION REQUESTING CONFIDENTIAL TREATMENT UNDER RULE 406 OF THE SECURITIES ACT OF 1933. that would create noise, vibrations, dust or other similar annoyances to other tenants or occupants of the Project outside normal business hours, notwithstanding any additional cost (for overtime or otherwise) that Tenant may incur, (iii) shall clean and secure construction and staging areas daily, (iv) shall stage all construction and store all construction materials and equipment in a location designated by Landlord (in Landlord’s sole discretion) on the Project, and (v) shall otherwise abide by all rules and requirements established or imposed by Landlord relating to the performance of the Tenant Improvements, including rules relating to any required shutdown of utilities (including life-safety systems), storage of materials, and coordination of work with other tenant’s or occupant’s contractors. Tenant shall not be charged any construction management fee for Landlord’s review of Tenant’s Plans or any oversight of the construction of the Tenant Improvements.
